See Schedule O for continuation.The industry markets its products through several delivery vehicles, including the internet, private and public networks, cable, wireless, and satellite transmission. The industry operates in a borderless world and therefore must serve an international constituency. The code and content industry segments share public policy objectives in strong intellectual property protection, a favorable tax and electronic commerce environment, and a favorable investment climate.

Governance Explanations

Form 990, Part VI, Section A, line 1A

The Chair, Vice-Chair, Secretary, Treasurer, SIIA President, and immediate past Chair shall constitute the Executive Committee. The Executive Committee may exercise administrative functions of the Board of Directors when the Board is not in session, reporting to the Board of Directors at its subsequent meeting any action taken. Issues concerning public policy and SIIA structure may not be decided solely by the Executive Committee.

Form 990, Part VI, Section A, line 6

The Association has Full and Associate Members. Full Membership: Any organization or proprietorship whose primary business is the creation, publication, or development, of software or information products, services and/or technology is eligible to become a Full Member of the Association. Associate Membership: Any person, firm, corporation or other association with software and information industry interests, clients, or practices, including but not limited to, accounting firms, advertising and public relations agencies, executive search, management consulting firms, investment firms, firms of financial analysts and lawyers, and banks/brokerage firms are eligible to become an Associate Member, provided that the entity shares an interest in the growth and development of the software and information industry. Companies eligible for Full Membership are not eligible for associate membership.

Form 990, Part VI, Section A, line 7A

In elections of SIIA's Board of Directors, each Full Member, and any Associate Member that has been a member for at least the previous 2 years and that has dues equal to or greater than $10,000, shall be eligible to vote. Each eligible Full Member shall have one vote. Each eligible Associate Member shall have 0.5 vote. In all other actions requiring Association-wide votes, each Full Member shall be eligible to vote. Each eligible Full Member shall have one vote. Associate Members shall not have a vote. Divisions shall not be prevented from granting Associate Members with the same voting rights as Full Members for votes conducted by a Division working group or committees.

Annually the Executive Committee of the Board reviews the performance of the President for the past fiscal year. As part of that process, the committee reviews and may update compensation. Periodically, but not every year, compensation data for chief executives of similar size and purpose trade associations is obtained from 990s or other sources for purpose of determining reasonability and comparability of President's compensation.
