Governance Explanations

Form 990, Part VI, Section A, Line 1

The institute has an executive committee, which may exercise the board's authority in between meetings of the board of trustees, and is accountable to the board of trustees for its decisions. The executive committee specifically has the duty to approve the appointment of all attorneys, accountants, and other outside consultants, other than subcontractors hired to perform routine tasks in the field. The executive committee consists of 5 members: the chairman, the vice chairman, the executive vice president of the national association of home builders (a related entity), and two other trustees recommended by the institute chairman, with the approval of 2/3's of the board of trustees. The president of the institute services as a non-voting ex officio member of the executive committee.

Form 990, Part VI, Section A, Line 7A

Hbi's board of trustees consists of the executive vice president of the national association of home builders (nahb), as well as 10 additional trustees appointed by nahb's 5 senior members (two appointments each). These senior members are: the president, the first vice president, the vice president/treasurer, the vice president/secretary, and the immediate past president. These senior members have the authority both to appoint and remove 2 board members each.

Form 990, Part VI, Section B, Line 11B

A pdf copy of the hbi's form 990 is sent via e-mail to the audit committee of the board of trustees after it is signed, but before it is filed.

Form 990, Part VI, Section B, Line 12C

The board has an annual retreat where the conflict of interest policy is reviewed. They are given a copy for the policy to read and sign a form to indicate that they understand the policy and agree to comply with it.

Form 990, Part VI, Section B, Line 15

Hbi obtains comparability salary data and salary recommendation for the ceo from quatt associates, a management consulting firm specializing in executive compensation and compensation design. The board's executive committee then acts to review and approve the ceo's compensation. Other positions: hbi obtains current market pricing for all positions annually, and the human resources department performs the review and approval.

Form 990, Part VI, Section C, Line 19

Hbi's form 990, governing policies, conflict of interest policy and financial statements are available upon request.
