Governance Explanations

Form 990, Part VI, Section A, line 6

Membership consists of two classes of members: (1) active membership open to any certified development company certified by the SBA, and (2) affiliate membership that is open to others, private sector and government, who are interested in the 504 program and in receiving industry information.

Form 990, Part VI, Section A, line 7A

Active members are allowed to vote. Affiliated members have no right to vote.

Form 990, Part VI, Section B, line 11

A draft Form 990 is provided to the president and the board prior to filing. A copy of the final 990 is provided to the board at a future board meeting.

Form 990, Part VI, Section B, line 12C

On or before June 1 of each year, directors and employees are required to disclose in writing any interests that could give rise to a conflict of interest and the names of all associates and close relatives. Directors and employees are required to promptly update the disclosures whenever there is a change. The secretary of the board of directors, the organization's general counsel, and the president enforce this policy.

Form 990, Part VI, Section B, line 15A

The compensation committee reviews and approves the salary of the president. Various resources are used in determining the compensation.

Form 990, Part VI, Section C, line 18

Federal Form 990 is available on Guidestar's website and is also available upon request.

Form 990, Part VI, Section C, line 19

The organization's governing documents, conflict of interest policy and financial statements are made available upon request.

IRS990/ProgSrvcAccomActy2Grp/Desc0Professional Education: NADCO provides the only education for CDC staff and attorneys that focuses solely on the SBA 504 loan program. These courses are delivered in-person twice each year: once in conjunction with the annual meeting and once in the Winter/Early Spring. These courses are generally two or three days, with most requiring either industry and 504 experience, or prerequisites of certain NADCO courses for the more advanced courses. The courses focus on all aspects of 504 loan packaging, closing, servicing, and liquidation. NADCO also offers a more limited offering of on-line courses.
IRS990/ProgSrvcAccomActy3Grp/Desc0Government Relations: One of NADCO's primary missions is to represent the CDC membership at various governmental levels. These include both the Congress and the Small Business Administration. NADCO advises the staff of both the House and Senate small business committees on industry and 504 concerns and recommends courses of action as needed when Congress is considering legislation affecting either SBA or the 504 loan program. NADCO also works closely with the management and field staff of the SBA in developing and managing loan policies, regulations, and practices. Our objective is to ensure that reasonable policies are developed that do not hinder CDC abilities to deliver 504 to small businesses.
IRS990/ProgSrvcAccomActyOtherGrp/Desc0Member Services and Communications: Other communications to members and small business about the 504 loan program.
