“The Organization significantly amended the by-laws in the following ways: 1. Changed the commencement of the term of Trustees from the annual election to the beginning of the fiscal year following the annual election. The terms of all trustees, regardless of whether they are elected at the beginning of the fiscal year or during the year, will terminate at the end of the fiscal year; the removal of the provision that a trustee serves the remainder of the term of his/her predecessor since trustees are not elected to replace a particular trustee. 2. Allows for action by the Board without a meeting with the written consent of a majority of all Trustees of the Board.”

“After the annual audit, the independent accounting firm provides a copy of the draft Form 990 to the Chair of the Audit Committee, Chair of the Finance Committee, and the Chair of the Board. The Form 990 is then reviewed and discussed and changes are made if necessary. After any necessary edits, the Form 990 is approved by the Chair of the Audit and Finance Committees and the Chair of the Board.”

“Individuals are required to disclose any conflicts as they may arise and Committee Chairs are responsible for investigating potential conflicts.”

“Compensation of top management and key employees is determined after review of comparable organizations and is approved by the compensation committee.”

“The Theatre will provide a copy of the 990 upon any requests made by the public.”

“The Theatre will make its governing documents, conflict of interest policy or financial statements available to the public upon request.”
