Governance Explanations

Form 990, Part VI, Section A, Line 6

There is one class of voting members, they are referred to as general members. There are two other classes of members that do not vote, sustaining members and subscribing members. General members elect the board, one vote per member.

Form 990, Part VI, Section A, Line 7A

General members elect the board, one vote per member.

Form 990, Part VI, Section B, Line 11B

The 990 is prepared by police executive research forum's outside accounting firm. The 990 draft is reviwed by management before filing. The 990 is available to board members upon request.

Form 990, Part VI, Section B, Line 12C

The organization has a strong informal process of monitoring and enforcing its conflict of interest process that's driven by the sensitive nature of law enforcement research and public safety issues.

Form 990, Part VI, Section B, Line 15

Perf retains an external compensation consultant for annual review of its staff. The consultant advises the board of directors of the salary practice that is pertinent to perf and computes recommendations for all staff, except for the executive director. The board of directors reviews the external compensation consultants report, recommendations and executive director compensation annually. The board of directors may choose to review and/or amend such items prior to voting on their approval.

Form 990, Part VI, Section C, Line 19

Financial statements, conflict of interest policy and governing documents are available upon request for the same period of disclosure as set forth in section 6104(d).

Financial Statement Notes

PART X, LINE 2:

Perf has adopted the accounting standard on accounting for uncertainty in income taxes, which addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, perf may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management evaluated perf's tax positions and concluded that perf had taken no uncertain tax positions that require adjustment to the financial statements to comply with the provisions of this guidance. Generally, perf is no longer subject to income tax examinations by the u.s federal, state, or local tax authorities before 2013.
