The national association of area agencies on aging's (n4a) primary mission is to build the capacity of our members so they can help older adults and people with disabilities live with dignity and choices in their homes and communities for as long as possible.

Usaging represents and supports the national network of area agencies on aging and advocates for the title vi native american aging programs that help older adults and people with disabilities live with optimal health, well-being, independence and dignity in their homes and communities.

The board of directors and its president are elected by vote of the membership. Each member receives one vote and under the bylaws of the organization, a quorum requires 20% of the full membership with due notice to each member.

Form 990, Part VI, Section A, Line 7B

Decisions of the board of directors relating to bylaw amendments, issues relating to membership and board composition, and dissolution and distribution of assets are required to be ratified by the membership, subject to quorum requirements as stated in the bylaws.

The form 990 is prepared by a certified public accountant. Management of the organization reviews the 990 prior to filing. A copy of the approved form 990 is sent to all members of the governing body via email prior to filing the return.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy applies to members of the board of directors and officers of the organization. Annually each board member is required to complete a "conflict of interest questionnaire" which provides information on their employer, position, and identification of any potential or actual conflicts of which they are aware. Each board member signs the form and a statement agreeing to notify the organization of any change in status within 30 days. These reports are reviewed by the executive committee, which attempts to resolve any actual or potential conflict(s) and, in the absence of resolution, refers the matter to the board of directors. Any board or committee member who is aware of a potential conflict of interest with respect to any matter coming before the board or committee shall not be present for any discussion of or vote in connection with the matter. As a general rule, no transactions are permitted between an employee, their family members or organizations in which they or their family members have a financial or other interest in the organization. Any employee who meets the criteria of a key employee as defined in the instructions to form 990 is required to follow the same policy as members of the board of directors and officers.

Form 990, Part VI, Section B, Line 15

Compensation of the chief executive officer (ceo) of the organization is reviewed annually by the executive committee of the board of directors. The committee conducts an annual review of the ceo's performance and determines the compensation for the upcoming year based on salary surveys for comparable positions and organizations in the washington dc area in accordance with the compensation policy. The compensation and benefits package is memorialized in an employment agreement approved by the executive committee of the board of directors. Compensation of key employees and officers other than the ceo is determined by the ceo based on salary ranges established for each position based on comparable data contained in salary surveys. Each key employee or other officer is evaluated annually, as are all employees, and any raise is recommended by the ceo based on performance and the approved salary range for the position. Any changes to salary are communicated on a salary change notice, a copy of which is maintained in the employee personnel file. The process was last conducted in november 2022.

PART X, LINE 2:

The association follows the authoritative guidance relating to accounting for uncertainty in income taxes included in accounting standards codification topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized on an entity's consolidated financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is the association's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The association performed an evaluation of uncertain tax positions for the year ended december 31, 2022 and determined that there were no matters that would require recognition in the consolidated financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the association files tax returns.
