Governance Explanations

FORM 990, PART VI, SECTION A, LINE 1:

The executive committee of the pbs board of directors has the authority to act on behalf of the board between meetings of the board as needed, and shall timely report such actions to the full board. During the reporting period, the executive committee consisted of the board chair, the pbs president, the chairs of the four standing committees of the board, and three to five at-large directors selected by the board chair. All appointments to the executive committee shall be approved by a majority of the board.

FORM 990, PART VI, SECTION A, LINE 6:

Pbs' member stations are fcc non-commercial, educational licensees that receive and distribute pbs programming in local markets after having applied for and been granted membership status in pbs by the pbs board.

FORM 990, PART VI, SECTION A, LINE 7A:

Members of the organization elect 14 of the 27 members of the governing body.

FORM 990, PART VI, SECTION A, LINE 7B:

Any amendment of the by-laws altering the classes or number of members or directors, or the terms of directors, shall also require the approval of a majority of the members voting.

FORM 990, PART VI, SECTION B, LINE 11B:

The process for reviewing the pbs form 990 prior to filing includes a review by the ceo, coo, cfo/treasurer, chief legal officer and the executive committee of the board. In addition, copies of the form are provided to the full board for review prior to filing.

FORM 990, PART VI, SECTION B, LINE 12C:

In accordance with the pbs conflict of interest policy, all pbs staff at the director level and above are required to complete annually a conflict of interest form. These forms are distributed, collected, retained and reviewed by the office of the pbs general counsel. With respect to the pbs board, officers and directors complete annually a conflict of interest form and these forms are reviewed by the nominating and corporate governance committee and the corporate secretary. In accordance with the policy, potential conflicts arising during the year are reviewed by the chairman of the board, the chair of the nominating and corporate governance committee, and/or the corporate secretary.

FORM 990, PART VI, SECTION B, LINES 15A & 15B:

The executive committee of the board is responsible for executive compensation. The executive committee retains an independent executive compensation expert who supplies comparability data on the ceo and the chief operating officer, the chief financial officer, the chief legal officer, the chief technology officer and the chief digital & marketing officer, and submits a written opinion on compliance with intermediate sanctions. The executive committee makes a recommendation on ceo compensation to the full board, which approves any such compensation. The ceo is recused from any discussion and vote. The executive committee approves compensation of the coo, the cfo, the clo, the cto and the cdmo.

FORM 990, PART VI, SECTION B, LINE 16B:

At the time of filing, pbs has in place a written policy or procedure for the evaluation of its participation in joint ventures under federal tax laws. During the reporting period and in prior years, pursuant to the board of directors' delegation of authority resolution, the approval of the board or an authorized committee of the board was required to enter into any partnership or similar business arrangement with third parties, which facilitates the board's due diligence regarding tax and other implications of the transaction. In addition, the board's advisory committee reviews and makes recommendations with respect to revenue generating opportunities and the impact to pbs' non-commercial mission.

Pbs empowers individuals to achieve their potential and strengthen the social, democratic and cultural health of the united states. Form 990, part i, line 5 and part v, line 2a: the total number of pbs employees who received a 2016 form w-2 from the filing organization was 574.

Form 990, Part III, Line 4D - Other Program Services:

Educational grants represents activity related primarily to grants received from the corporation for public broadcasting. Expenses $11,200,611 including grants of $5,902,725 revenue $0 member services represents other services provided in support of pbs' member stations, including digital products and services, development, and copyright administration. Revenues are derived from member station dues assessments. Expenses $11,165,123 including grants of $1,252,538 revenue $29,560,076 ventures - represents activities associated with the sale of dvds, digital content, and program-related products that are sold to educational institutions, libraries, businesses, government agencies and individuals; the licensing, development, and distribution of interactive products, such as online video games; the licensing of video content to commercial online and mobile service providers; and online sponsorship activities. Expenses $3,066,336 including grants of $0 revenue $39,462,388 royalties - represents amounts distributed to public broadcasting stations and producers from licensing fee revenues received from cable and satellite providers, and administrative costs associated with the oversight of these activities. Revenues are dervived from the exploitation of some digital products and course materials developed for educators. Expenses $2,823,429 including grants of $0 revenue $3,555,213

Financial Statement Notes

Part V, Line 4, Endowment Funds:

The pbs endowment fund consists of individual funds established in support of public broadcasting. Endowment funds constitute substantially all of the foundation's investments. The foundation reports those funds in accordance with asc 958 ( endowments of not-for-profit organizations: net asset classifications of funds subject to an enacted version of the uniform prudent management of institutional funds act (upmifa), and enhanced disclosures for all endowment funds ). At june 30, 2017 and 2016, the foundation had endowment funds totaling $9.3 million and $7.5 million, respectively. Of this total, funds totaling $4.0 million in both 2017 and 2016, were permanently restricted with donor imposed stipulations on the use of the funds. In addition to the permanently restricted fund, the foundation had board designated endowment funds. Permanent, donor - restricted endowment fund: the iris and joseph pollock fund: to provide for the broadcast and dissemination of classical music programming. Pbs foundation board designated fund: pbs endowment fund: to provide a continued source of income for operations, special projects, capital improvements or for emergency needs.

Part X, Line 2:

Under Accounting Standards Codification (ASC) 740-10, Income Taxes, an organization must recognize the tax benefit associated with tax positions taken for tax return purposes when it is more-likely-than-not that the position will be sustained. The Company does not believe there are any unrecognized tax benefits that should be recorded. For the years ended June 30, 2017 and 2016, there were no interest or penalties included in the consolidated statements of activities. The Company is still open to examination by taxing authorities from fiscal year 2014 forward.
