“Ahima foundation has one member, american health information management association (ahima), an illinois not-for-profit corporation. Ahima has reserved powers and voting rights to: - amend the articles of incorporation, corporate by-laws and any mission statement of ahima foundation; - appoint or remove ahima foundation directors and officers, including the executive director, and approve all executive compensation arrangements; - approve all plans of merger, consolidation, joint venture or the creation or acquisition of subsidiaries or affiliates of ahima foundation; and - perform all treasury functions involving ahima foundation.”

“Ahima foundation's sole member, ahima, has the power to appoint the directors and officers of ahima foundation, including the executive director. Ahima may remove ahima foundation directors or officers at any time, with or without cause.”
