“Ahima foundation has one member american health information management association (ahima), an illinois not-for-profit corporation. Ahima has reserved powers and voting rights to: - amend the articles of incorporation, corporate by-laws and any mission statement of ahima foundation; - appoint or remove ahima foundation directors and officers, including the executive director, and approve all executive compensation arrangements; - approve all plans of merger, consolidation, joint venture or the creation or acquisition of subsidiaries or affiliates of ahima foundation; and - perform all treasury functions involving ahima foundation.”
