Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared on an annual basis by vantage aging independent auditors. Once prepared, the form 990 is then reviewed by the director of finance and/or cfo for accuracy and completeness. The director of finance and/or cfo will note any changes or corrections and the independent auditors will make any necessary changes. After the director of finance and/or cfo has reviewed the form 990, the form is then given to the ceo and treasurer to review. During this review, any questions, comments or changes are addressed and made if necessary. The treasurer indicates agreement with the return by signing the form 990. The finalized form is then emailed to all board members for comment. The form is then filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Board members disclose potential conflicts of interest annually by completing the 'board of directors conflict of interest policy & statement and submitting to the ceo. The ceo and board chair review the completed statements and establish any necessary safeguards should conflicts of interest exist. The chair's and ceo's statements are reviewed by the human resource committee. The ceo saves the completed statements electronically in the board member's file on vantage aging's network.

Form 990, Part VI, Section B, Line 15

To ensure that the agency's compensation rates are competitive within the community, a sample review of wage rates for comparable positions is conducted on an annual basis. Current wage information from at least two different sources surveying comparable organizations is considered. Summarized data is reviewed annually with the human resources committee of the board. The human resources committee annually recommends an overall merit increase pool to the finance committee/board of directors for consideration. In addition to the overall pool, the executive committee reviews the ceo's compensation package and approves any changes.

Form 990, Part VI, Section C, Line 19

The 990 is available on the vantage aging website and upon request. All other documents are available upon request.
