Governance Explanations

Form 990, Part VI, Section A, Line 6

Membership shall be open to individuals with developmental disabilities, all parents, relatives, guardians, and foster parents of citizens with intellectual and/or developmental disabilities, and to other persons interested in the purposes of the organization. In the event of the dissolution of the organization, all property and assets shall revert to an organization serving persons with intellectual and/or developmental disabilities.

Form 990, Part VI, Section A, Line 7A

The general meeting of the membership held in november shall be delegated as the annual meeting for the election of officers and directors.

Form 990, Part VI, Section B, Line 11

A copy of the form 990 is provided electronically to the board of directors for review prior to the filing of the return. The executive director and finance director are available to answer any questions. When all questions have been answered, the board approves the return for filing. The treasurer signs the copy to be filed and the copy to be retained for public inspection.

Form 990, Part VI, Section B, Line 12C

The budget and finance committee is responsible for consistently monitoring and enforcing compliance with the conflict of interest folicy. The board treasurer ensures that all board members sign off on the confilct of interest form annually and will present to the committee any disclosures. The committee will report any disclosures to the board to determine any necessary action to enforce compliance with the policy. A review of conflicts of interest will be included on each meeting agenda in order to monitor compliance with the policy. There will be an anonymous on-line reporting form for whistleblower policy and deficit reduction act, which will go to the tarc, inc. Board treasurer, tarc, inc., human resources director, and tarc foundation board treasurer.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of directors is responsible for the performance evaluation of the executive director. The committee approves any salary increase and communicates that information to the human resources director. The executive director is responsible for the performance evaluation of the finance director. The results from the performance review are factored into any salary increase and the related documentation is retained in the personnel file. In addition, the full board approves all salaries each year when the budget is adopted. Comparability information is obtained from various independent sources.

Tarc, inc. Is a not-for-profit corporation as described in section 501(c)(3) of the internal revenue code (the code) and is exempt from federal income taxes pursuant to section 501(a) of the code. Tarc, inc. Has not been classified as a private foundation. Accordingly, no provision for income taxes is made is these statements. Tarc, inc.'s policy is to evaluate uncertain tax positions annually. Management has evaluated the organization's tax position and concluded that the organization has taken no uncertain tax positions that require adjustment to the financial statements. Forms 990 and 990t filed by tarc, inc. Are subject to examination by the internal revenue service up to three years from the extended due date of each return. Forms 990 and 990t filed by tarc, inc. Are no longer subject to examination for the fiscal years ended 2009 and prior.
