Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization has the following classes of members: 1. Regular membership - regular membership in the corporation with full rights and privileges is based on meeting the assessments. Regular membership shall entitle the wheat grower board member designated by such an organization or entity (1) to vote on any question before the board of directors; (2) to hold any officer position of the board of directors; (3) to discharge any supervisory travel for the corporation and (4) to hold and chair any committee assignments for the board of directors. 2. Regular membership for states not meeting full assessments - any members which does not meet its full assessment shall forfeit all rights and privileges except that such member (1) may vote on any question before the board of directors (2) may hold committee assignments and (3) may chair committees with the approval of the board of directors. 3. Associate membership - associate membership in the corporation may, with the approval of the board of directors, be granted to any state, regional or national organizaiton or entity that has a primary purpose consistent with the "purpose" in article ii of the bylaws of the corporation. This membership shall not entitle the designated official of such an organization or entity: (1) to vote on any question before the board of directors; (2) to hold any official position on the board of directors; (3) to discharge any supervisory travel for the board of directors; and (4) to hold any committee assignments for the board of directors. 4. Contractual membership - contracting parties shall have the privilege to attend meetings of the corporation at their own expense, with ex-officio representation and discussion priviledges with regard to the specificities of the contract with the corporation. 5. Honorary membership - honorary board members shall have the priviledge to attend regular meetings of the corporation for discussions, representational, and informational purposes at their own expense. Such membership shall not entitle the individual: (1) to vote on any question before the corporation; (2) to become an officer of the corporation; (3) to undertake any supervisory travel; or (4) to serve on any regular committee.

Full disclosure, by notice in writing, shall be made by the interested parties to the full board of directors in all conflicts of interest. Following full disclosure of a possible conflict of interest, the board of directors shall determine whether a conflict of interest exists and, if so the board shall vote to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect u.s. Wheat associates, inc's best interests.

The board of directors, in a closed session (usually during the summer meeting), reviews the employee evaluation prepared by the chairman and determines a new salary effective july 1 each year in accordance with the u.s. Wheat associates, inc budget, salary surveys for ceos and of course, based on the president's performance for the year.

U.s. Wheat associates, inc. Is not aware of any tax positions for which it believes that there is a reasonable possibility that the total amounts of unrecognized tax benefits will change materially in the next twelve months.
