National diversity coalitions finance team and the outside accounting firm prepare the form 990. The return is then reviewed and approved by the organizations controller and/or the cfo and ceo. The form 990, including all schedules, is provided to the full board before filing.

Conflict of interest policy compliance Part VI line 12C

National diversity coalition (ndc) requires all employees to disclose, at least annually, all sources of income from compensation or from ownership of every outside entity that (a) sold, supplied or provided services (b) operated a competing enterprise or (c) provided goods or services to ndc in the last six months. Ndc also requires all directors to annually sign a statement affirming (a) receipt of ndcs conflict of interest poicy (b) understanding of the policy and (c) agreement with the policy. Ndcs conflict of interest policy describes how ndc will resolve possible conflicts of interest.

The organizations board of directors, which is comprised of individuals who do not have a confilict of interest concerning the transaction, reviews the compensation package of the ceo in advance. Prior to making its determination, the board of directors obtained and relied upon appropriate comparability data from similarly qualified nonprofit executives at simlar organizations. The board minutes contemporaneously document the decision and discussion, including who was present, a description of the compensation data and hot it was obtained, and the date of a description of the transaction.
