Ndc also requires all directors to annually sign a statement affirming (a) receipt of ndcs conflict of interest poicy (b) understanding of the policy and (c) agreement with the policy. Ndcs conflict of interest policy describes how ndc will resolve possible conflicts of interest.”

The board minutes contemporaneously document the decision and discussion, including who was present, a description of the compensation data and hot it was obtained, and the date of a description of the transaction.”
