Mission

The Wheaton Academy Institute operates an international student program. The Institute runs various programs to assist international students to prepare for their American studies; which include the Wheaton Academy Global Network and placement program and the supporting programs including the Summer English Institute (SEI) and the Best Practice Conference (BPC).

Governance Explanations

Form 990, Part VI, Section A, line 1

An Executive Committee, consisting of the Officers of the Institute and the Head of School of Wheaton Academy, will act for the Board of Directors in the day-to-day management of the Institute in the absence of action by the Board, where legally permissible. The President of the Institute shall serve as the Chairperson of the Executive Committee. The Executive Committee shall have and exercise the authority of the Board of Directors in the management of the routine operation of the Institute within the scope of established policy and general plans; provided, however, that the Executive Committee shall not have the authority of the Board of Directors in reference to (a) amending, altering, or repealing the Amended Bylaws; (b) electing, appointing, or removing any member of the Executive Committee or any Director or Officer of the Institute; (c) amending the Articles of Incorporation; (d) adopting a plan of merger (e) authorizing the sale, lease, exchange, or mortgage of all or substantially all of the property and assets of the Institute; (f) authorizing the voluntary dissolution of the Institute or revoking proceedings therefor; (g) adopting a plan for the distribution of the assets of the Institute; or (h) amending, altering, or repealing any resolution of the Board of Directors which by its terms provides that it shall not be amended, altered, or repealed by such committee.

If the Board of Directors endorse any or all of the candidates so tendered, the Secretary of the Board of Directors shall tender the names and qualification of the candidates so endorsed to the Wheaton Academy Board of Trustees not later than the regularly scheduled November meeting of the Wheaton Academy Board of Trustees for a vote to be elected or not elected as Directors of the Institute.

The organization requires all officers and board members to annually complete and sign a conflict of interest questionnaire. The Executive Director is responsible for reviewing the signed statements and ensuring that interested persons are in compliance with the conflict of interest policy. The President reviews the Executive Director's statement. Should any potential conflicts of interest be disclosed, the board member or officer would be asked to refrain from participation in any deliberation or decision with regard to matters affected by the relationship.

Staff are compensated by a related organization, Wheaton Academy. Wheaton Academy files all required payroll information returns as required by the IRS. As such, due to common paymaster rules as instructed by the IRS, the number of employees reported represent the number of employees who work for the filing organization but are compensated by a related organization.

The Executive Committee shall have and exercise the authority of the Board of Directors in the management of the routine operation of the Institute within the scope of established policy and general plans; provided, however, that the Executive Committee shall not have the authority of the Board of Directors in reference to (a) amending, altering, or repealing the Amended Bylaws; (b) electing, appointing, or removing any member of the Executive Committee or any Director or Officer of the Institute; (c) amending the Articles of Incorporation; (d) adopting a plan of merger (e) authorizing the sale, lease, exchange, or mortgage of all or substantially all of the property and assets of the Institute; (f) authorizing the voluntary dissolution of the Institute or revoking proceedings therefor; (g) adopting a plan for the distribution of the assets of the Institute; or (h) amending, altering, or repealing any resolution of the Board of Directors which by its terms provides that it shall not be amended, altered, or repealed by such committee.
