Conflict of interest policy: officers, directors, trustees, and key employees of ochsner clinic foundation and its subsidiaries are required to complete a conflict of interest disclosure form annually, or within 40 days of becoming an employee, or if a current employee has a change in business circumstances not previously disclosed. The conflict of interest program administrator reviews disclosures and determines whether action is necessary or if the disclosure needs to be reviewed by the conflict of interest steering committee. Ochsner clinic foundation requires annual certification that the relationships disclosed during preceding calendar year are complete and accurate. In addition, employees that do not fall within the scope of the conflict of interst disclosure policy complete new hire or risk-based conflict of interst training in alignment with the conflict of interest policy. The conflict of interest steering committee will make mitigation recommendations including, but not limited to, divestiture and termination of employment.

Ochsner clinic foundation's financial statements are audited by an independent accountant. In addition, ochsner clinic foundation has a committee for oversight of the audit, review, or compilation of its financial statements and selection of an independent accountant.

Financial Statement Notes

PART X, LINE 2:

The majority of ochsner and its subsidiaries qualify as tax-exempt organizations under section 501(a) and are described in section 501(c)(3) of the internal revenue code and are exempt from federal and state income taxes. Any federal income taxes associated with the for-profit entities are not material to ochsner's consolidated financial statements. Management annually reviews its tax positions and has determined that there are no material uncertain tax positions that require recognition in the accompanying consolidated balance sheets. The statute of limitations remains open for tax years 2020 through 2023 in ochsner's main tax jurisdictions.
