Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The director of operations reviews the draft 990 with the treasurer, addressing all questions the treasurer may have and making any necessary changes. The treasurer then distributes the updated draft to the full board via email with a notice that they are to respond to the treasurer with any question/comments within five business days. Once the five days have expired and all questions have been fully addressed by the treasurer and/or the director of operations, the treasurer then notifies the director of operations via email that the 990 is ready to file.

Form 990, Page 6, Part VI, Line 12C

The conflict of interest policy is constantly monitored by administration personnel and the board of directors through review and approval procedures. Annually board members and key staff complete a conflict of interest disclosure form identifying any relationships or circumstances which the board or staff member believes could contribute to a conflict of interest. An employee of the corporation with a potential conflict of interest in a particular matter shall promptly and fully disclose the potential conflict to his/her supervisor. The employee shall thereafter refrain from participating in deliberations and discussion, as well as any decisions, relating to the matter and follow the direction of the supervisor as to how the corporation decisions which are the subject of the conflict will be determined. The president shall be responsible for determining the proper way for the corporation to handle corporation decisions which involve unresolved employee conflicts of interest. In making such determinations, the president may consult with legal counsel.

Form 990, Page 6, Part VI, Line 15A

The board of directors must approve in advance the amount of all compensation for officers of the corporation. Before approving the compensation of an officer, the board shall determine that the total compensation to be provided by the corporation to the officer is reasonable in amount in light of the position, responsibility and qualification of the officer for the position held, including the result of an evaluation of the officer's prior performance for the corporation, if applicable. In making the determination, the board shall consider total compensation to include the salary and the value of all benefits provided by the corporation to the individual in payment for services. At the time of the discussion and decision concerning an officer's compensation, the officer should not be present in the meeting. The board shall obtain and consider appropriate data concerning comparable compensation paid to similar officers in like circumstances. The board shall set forth the basis for its decisions with respect to compensation in the minutes of the meeting at which the decisions are made, including the conclusions of the evaluation and the basis for determining that the individual's compensation was reasonable in light of the evaluation and the comparability data.

The science communication lab is increasingly producing content for the general public that highlights the spirit of scientific discovery, expands the notion of "who is a scientist,- and explains key breakthroughs and concepts. This project is made possible by the good will of many biologists who are committed to making their work broadly accessible and to conveying the excitement of biology to a worldwide audience.

The wonder collaborative: feature-length and short films for the general public the wonder collaborative is the scl's public film initiative, and is a creative partnership that brings innovative storytellers and the global scientific community together in a spirit of experimentation and collaboration to revolutionize science filmmaking with the wonder, awe, and diversity of discovery. The wonder collaborative collaborates with a diverse group of scientists at all stages of the storytelling process, and experiments in style, structure, and content. The wonder collaborative's efforts include the recently released observer, which explores the power of observation in how we understand our world. The wonder collaborative stories are produced with a broad, global, general (science-curious) audience in mind, and aims to create novel partnerships, distribution networks, and engagement opportunities through community screenings, activities, and dialogue, especially between the scientific community and the public.

Science communication lab: seminars and courses for life scientists the scl creates story-based multimedia and associated teaching materials that help audiences connect with scientific ideas, the people behind the science, and the real-world processes that drive it. Guided by the values of community, open access, inclusion, and evidence-based teaching and learning, the scl works with educators to develop films and classroom resources; provides professional development for science educators through its ambassador program and workshops; partners with organizations to screen films and create engagement resources for informal education settings; rigorously evaluates the impact of its work in formal and informal education; and builds a growing network of educators through individual outreach and participation in science education conferences. The scl also creates free online professional development courses for aspiring and early career scientists that help unpack key elements of being a scientist, including how to design research experiments, communicate research, and build a mentor network. These efforts help advance a shift in science education toward engagement, authenticity, and relevance.

Special initiatives in science communication special initiatives encompass science communication activities that fall outside the primary program categories. The current initiative, supported by a national geographic grant, brings the science of science communication to the national geographic explorers program - a community of creative science and environmental storytellers. To date, scl has delivered workshops at conferences and hosted webinars featuring experts in the field, including facilitated breakout sessions. Additional programs are planned to help explorers understand new ways to measure their impact and foster connections between them and science communication researchers. Explorer's guide to biology (xbio): educational materials for undergraduate students the mission of xbio is to create a free learning text and image-based resource that emphasizes the wonders of life and the problem-solving nature of science. Many students approach biology with initial excitement but leave their course discouraged after memorizing a sea of facts. Xbio's goal is to offer students a more exciting and accurate window into the life sciences through turning major discoveries into stories told by the scientists. In addition, we want to offer students a great learning experience for free, recognizing the financial burden imposed by textbook costs. As of july 1, 2023, xbio is a fiscally sponsored separate project.

Accounting principles generally accepted in the united states of america provide consistent guidance for the accounting for uncertainty in income taxes recognized in the organization's financial statements and prescribe a threshold of "more likely than not" for recognition of tax positions taken or expected to be taken in a tax return. The science communication lab performed an evaluation of uncertain tax positions for the year ended june 30, 2025, and determined that there were no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status. As of june 30, 2025, the statute of limitations for tax years 2021 through 2023 remains open with the u.s. Federal jurisdiction or the various state and local jurisdictions in which the organization files tax returns. It is the organization's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expense. As of june 30, 2025, the organization had no accruals for interest and/or penalties.

THE CURRENT INITIATIVE, SUPPORTED BY A NATIONAL GEOGRAPHIC GRANT, BRINGS THE SCIENCE OF SCIENCE COMMUNICATION TO THE NATIONAL GEOGRAPHIC EXPLORERS PROGRAM - A COMMUNITY OF CREATIVE SCIENCE AND ENVIRONMENTAL STORYTELLERS. TO DATE, SCL HAS DELIVERED WORKSHOPS AT CONFERENCES AND HOSTED WEBINARS FEATURING EXPERTS IN THE FIELD, INCLUDING FACILITATED BREAKOUT SESSIONS. ADDITIONAL PROGRAMS ARE PLANNED TO HELP EXPLORERS UNDERSTAND NEW WAYS TO MEASURE THEIR IMPACT AND FOSTER CONNECTIONS BETWEEN THEM AND SCIENCE COMMUNICATION RESEARCHERS. EXPLORER'S GUIDE TO BIOLOGY (XBIO): EDUCATIONAL MATERIALS FOR UNDERGRADUATE STUDENTS THE MISSION OF XBIO IS TO CREATE A FREE LEARNING TEXT AND IMAGE-BASED RESOURCE THAT EMPHASIZES THE WONDERS OF LIFE AND THE PROBLEM-SOLVING NATURE OF SCIENCE. MANY STUDENTS APPROACH BIOLOGY WITH INITIAL EXCITEMENT BUT LEAVE THEIR COURSE DISCOURAGED AFTER MEMORIZING A SEA OF FACTS. XBIO'S GOAL IS TO OFFER STUDENTS A MORE EXCITING AND ACCURATE WINDOW INTO THE LIFE SCIENCES THROUGH TURNING MAJOR DISCOVERIES INTO STORIES TOLD BY THE SCIENTISTS.
