Form 990, Page 6, Part VI, Line 12C

The directors and officers of honolulu biennial foundation shall act at all times in the best interests of the organization in a manner consistent with their duties, which include, but are not limited to, the duties of care and loyalty to the organization. All directors and officers annually must complete a disclosure and compliance form.

Form 990, Page 6, Part VI, Line 15A

The executive director's salary was determined first by compiling a market study of executive director's salaries of other nonprofit arts organizations in hawaii. The board of directors then reviewed this market study and then discussed and voted on an amount that was refelctive of the organization's budget and the responsibilities of the role. As hbf is a new nonprofit with a limited budget, the proposed executive director's salary was below the state average when compared to other arts nonprofit director salaries based in honolulu. The executive director has an annual performance review by the board of directors at the end of the calendar year.

FORM 990 - ORGANIZATION'S MISSION

Honolulu biennial foundation ("hbf") supports the local arts infrastructure with a global outreach by presenting an arts festival, honolulu biennial. Year-round educational and community engagement programs, capsule exhibitions, and artist development initiatives affirm our commitment to creating a global, sustainable, and accessible hub for contemporary art in hawai'i nei.

Form 990, Page 2, Part III, Line 4A

In 2019, honolulu biennial foundation realized the 2019 honolulu biennial (march 8 - may 5, 2019), which featured 47 artists from 15 countries and hawaii, and welcomed 114,722 visitors across 13 exhibition sites. Hb19 also offered 107 public programs, and provided field trips to over 2,204 children across o'ahu. As part of hb19's education program, hbf provided free transportation and educational art tours for 2,204 children across oahu nearly doubling the amount of children served during honolulu biennial 2017 (1,200). Hb19's education program doubled its efforts from the previous hb17 iteration with more than 107 public programs and 9,320 attendees over the two-month exhibition, 90% of which were fueled by community organizations and their responses to the biennial. These programs included but were not limited to: performances, lectures, panel discussions, workshops, film screenings, live podcasts, music video recording, guided tours, poetry readings, cultural rituals, film screenings, and presentations. The program schedule was punctuated by events created through hbf's partnerships with art explorium, ali'iolani hale, the hawaii state art museum, the honolulu museum of art, and biki. Actual budget for hb19 was 1,661,232 in cash raised and approximately 944,000 in in-kind donations (services, printing, food and beverage, equipment, lodging, discounts, exhibition space), for a total of 2,605,232.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0HONOLULU BIENNIAL FOUNDATION ("HBF") SUPPORTS THE LOCAL ARTS INFRASTRUCTURE WITH A GLOBAL OUTREACH BY PRESENTING AN ARTS FESTIVAL, HONOLULU BIENNIAL.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1IN 2019, HONOLULU BIENNIAL FOUNDATION REALIZED THE 2019 HONOLULU BIENNIAL (MARCH 8 - MAY 5, 2019), WHICH FEATURED 47 ARTISTS FROM 15 COUNTRIES AND HAWAII, AND WELCOMED 114,722 VISITORS ACROSS 13 EXHIBITION SITES.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2THE FORM 990 WAS SUBMITTED TO THE VOTING MEMBERS OF THE GOVERNING BOARD FOR REVIEW AND COMMENT PRIOR TO FILING.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3THE DIRECTORS AND OFFICERS OF HONOLULU BIENNIAL FOUNDATION SHALL ACT AT ALL TIMES IN THE BEST INTERESTS OF THE ORGANIZATION IN A MANNER CONSISTENT WITH THEIR DUTIES, WHICH INCLUDE, BUT ARE NOT LIMITED TO, THE DUTIES OF CARE AND LOYALTY TO THE ORGANIZATION. ALL DIRECTORS AND OFFICERS ANNUALLY MUST COMPLETE A DISCLOSURE AND COMPLIANCE FORM.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt4THE EXECUTIVE DIRECTOR'S SALARY WAS DETERMINED FIRST BY COMPILING A MARKET STUDY OF EXECUTIVE DIRECTOR'S SALARIES OF OTHER NONPROFIT ARTS ORGANIZATIONS IN HAWAII.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt5N/A - THE ORGANIZATION DOES NOT HAVE OTHER OFFICERS OR KEY EMPLOYEES.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6GOVERNING DOCUMENTS, CONFLICT OF INTEREST POLICY, AND FINANCIAL STATEMENTS ARE MADE AVAILABLE TO THE PUBLIC UPON REQUEST.
