All members of the HHC Devon Real Estate NFP Board of Directors annually sign a conflict of interest policy. Policy requires disclosure of any situation in which there may be even an appearance of potential conflict of interest. In addition, a conflict of interest provision is included in the organizational by-laws approved by the Board of Directors. When appropriate, members of the Board of Directors, or senior management excuse themselves from decision-making if there is any conflict of interest. Relative to board of committee actions, this is reflected in the meeting minutes.

HHC Devon Real Estate NFP is a tax-exempt organization under Internal Revenue Code Section 501(c)(3) and as required files a Form 990 (Return of Organization Exempt from Income Tax) annually. Accordingly, no income taxes are reflected in the accompanying consolidated financial statements. HHC Devon Real Estate NFP files a Form 990 (Return of Organization Exempt from Income Tax) annually. When this return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more-likely-than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Forms 990 filed by HHC Devon Real Estate NFP is subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Forms 990 filed by HHC Devon Real Estate NFP are no longer subject to examination for fiscal year 2013 and prior. The accounting guidance on income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded and disclosed in the financial statements. HHC Devon Real Estate NFP may recognize the tax benefit from an uncertain tax position only if it is more-likely-than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. Management has determined that the HHC Devon Real Estate NFP has no material uncertain tax positions that would require disclosure or adjustment.

HHC Devon Real Estate NFP ("HHC Devon") has been formed as a support organization for Heartland International Health Center, an Illinois not-for-profit corporation (the "Health Center") created pursuant to the Illinois General Not For Profit Corporation Act of 1986, 805 ILCS 105/101.01 et seq. (collectively, and together with the corresponding provisions of any future laws of the State of Illinois, the "Act"), to promote and assist with the development of the community health center and raising of capital for the operation of health care related services, but only to the extent and in such manner that such purposes constitute exclusively charitable, educational or scientific purposes within the meaning of Section 501(c)(3) of the Code. HHC Devon will acquire land and buildings (the "Project") located in Chicago, IL and further develop the Project and lease the Project to the Health Center for use solely in Health Center's charitable mission of providing primary health care services for area residents, through the medium of managing and operating a coordinated health center and Health Center's programs.
IRS990ScheduleA/Form990ScheduleAPartVIGrp/ExplanationTxt1HHC Devon Real Estate, NFP, is an Illinois not-for-profit corporation controlled by Heartland International Health Center and was formed during the year ended June 30, 2015 to serve as the leverage lender for the Health Center's New Markets Tax Credit transaction. In September 2014, the Health Center obtained financing totaling $3,945,000 from a state fund and $776,600 from a federal fund in an arrangement under the New Markets Tax Credit (NMTC) Program. This program was enacted by Congress as part of the Community Renewal Tax Relief Act of 2000. Essentially, this program permits individual and corporate taxpayers to receive a credit against federal income taxes for making Qualified Equity Investments (QEIs) in qualified Community Development Entities (CDEs). The Health Center has obtained financing from two separate CDEs to fund the construction of its new health center at 1300 W. Devon Avenue in Chicago. Under IRS guidelines for the NMTC program, the Health Center was required to provide investment funding through a separate legal entity (leveraged lender) into the QEI funds. For this reason, HHC Devon Real Estate, NFP was created to provide partial funding into the QEI.

Accordingly, no income taxes are reflected in the accompanying consolidated financial statements. HHC Devon Real Estate NFP files a Form 990 (Return of Organization Exempt from Income Tax) annually. When this return is filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the position taken or the amount of the position that would ultimately be sustained. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management believes that it is more-likely-than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Forms 990 filed by HHC Devon Real Estate NFP is subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Forms 990 filed by HHC Devon Real Estate NFP are no longer subject to examination for fiscal year 2013 and prior. The accounting guidance on income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded and disclosed in the financial statements. HHC Devon Real Estate NFP may recognize the tax benefit from an uncertain tax position only if it is more-likely-than not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. Management has determined that the HHC Devon Real Estate NFP has no material uncertain tax positions that would require disclosure or adjustment.
