“Sslc currently has 28 dues-paying members of which 8 members have voting seats on the board of directors.”

“Each member may cast one (1) vote for any one (1) candidate and may not cast more votes than the number of vacancies to be filled on the governing body.”

“Each member shall be entitled to one (1) vote on each matter submitted to a vote of the membership. Matters include electing officers and directors as well as bylaw changes.”

“Sslc did not have any committees in 2020, but created a "business affairs committee" in early 2021.”

“The coalition provided a complete copy of the form 990 to all members of the governing body before filing the 990 with the irs.”

“The conflict of interest policy requires board members to self-certify annually that they understand and agree to abide by the policy. Board members are required to advise the ceo if they perceive real or potential conflicts that arise in connection to their board responsibilities during the year, and to work with the ceo to implement mitigation actions, as appropriate.”

“In 2020 and previous years, the board reviewed and approved the ceo's and the government affairs executive's (john duncan's) compensation based on data from previous years and the coalition's performance. In early 2021, a business affairs committee of the board was created to review employee engagement and compensation practices. In light of sslc's growth and more stable revenue projections, the ceo position will be transitioned from a contractor (1099) employee to a direct hire employee starting in 2022, and both the ceo and the government affairs executive are being engaged on more formalized employment agreements, job descriptions and defined compensation plans in 2021.”
