All members have the right to elect the members of the board of directors.

Form 990, Part VI, Section A, Line 7A

All persons and entities desiring membership shall have demonstrated an interest in fostering and promoting economic development in berks county, shall have been approved for membership by a majority vote of the executive committee of greater reading economic partnership, and shall have made the minimum annual contribution for membership to the organization for the current membership fiscal year. In addition, entities shall have appointed a named individual as its representative to greater reading economic partnership. There shall be at least a regular annual meeting of the members as the terms of members of the board of directors of greater reading economic partnership expire, the members shall, inter alia, elect the directors of greater reading economic partnership at the annual members meeting. Members, as such, shall not receive any compensation for their services.

Financial Statement Notes

PART X, LINE 2:

As a not-for-profit organization, the organization is generally exempt from federal and state income taxes. Therefore, the organization has made no provision for federal income taxes in the accompanying consolidated financial statements. The organization is subject to federal and state income taxes on unrelated business income. The organization recognizes penalties and interest accrued related to income tax liabilities in the provision (benefit) for income taxes in its consolidated statement of activities. At december 31, 2018, there was no accrual for the payment of penalties and interest. When tax returns are filed, it is highly certain that some positions taken would be sustained upon examinations by the taxing authorities, while others are subject to uncertainty about the mertis of the positions taken or the amount of the position that would ultimately be sustained. The benefit of a tax position is recognized in the consolidated financial statements in the period during which, based on all available evidence, management beleives it is more likely than not that the position will be sustained upon examination, including the resolution of appeals or litigation processes, if any. Tax positions taken are not offset or aggregated with other positions. Tax positions that meet the more-likely-than-not recognition threshold are measured as the largest amount of tax benefit that is more than 50% likley of being realized upon settlement with the applicable taxing authority. The portion of the benefits associated with tax positons taken that exceeds the amount measured as described above is reflected as a liability for the unrecognized tax benefits in the accompanying consolidated statement of financial position, along with any associated interest and penalties that would be payable to the taxing authorities upon examination. The organization filed informatonal returns (irs form 990) in the u.s. Federal jurisdiction. The organization's tax retrns are no subject to examination through the year ended december 31, 2015.
