Community alliance, inc., a tax exempt corporation is a sole member of this corporation. Community alliance, inc. Has the right to approve or disapprove all amendments to the articles of incorporation and to the bylaws of the corporation; any sale, lease, transfer or disposition of all or substantially all of the assets of the corporation; the incurring of indebtedness, discontinuation of programs or changes to the mission statement of the corporation; the corporation's annual budget; to appoint the senior managing agent of the corporation; to receive regular financial reports from the corporation, and confirm directors on the board.

The draft of form 990, prepared by the independent accounting firm is forwarded to the organization's audit committee, which is comprised of board members and officers. The audit committee reviews the form 990 and reports its findings and recommendations to the board. The form 990 is finalized and submitted upon conclusion of this process.

All members of the board of directors and executive leadership are required annually to review the conflict of interest policy and submit a written disclosure/compliance statement. Financial Statement Notes

PART X, LINE 2:

The agency is a not-for-profit corporation as described in section 501(c)(3) of the internal revenue code. The agency has received a determination letter that it is exempt from federal income taxes on related income pursuant to section 501(a) of the internal revenue code. The internal revenue service has established standards to be met to maintain the agency's tax-exempt status. Accounting standards require disclosure and recognition in financial statements of positions taken in a tax return about the treatment of transactions and events that more likely than not would not be sustained upon examination by tax authorities. Tax positions relative to a not-for-profit organization include activities that may endanger its exempt purpose and status as an exempt organization. The agency believes it complies with all relevant tax laws and regulations and has no significant uncertain tax positions; accordingly, no liability for uncertain tax positions has been recognized in the financial statements.
