Governance Explanations

Form 990, Part VI, Section A, Line 2

Paul smith, susan lebens and henry davis have a business relationship.

Form 990, Part VI, Section B, Line 11B

A complete copy of the form 990 will be provided to the board of governors prior to its filing.

Form 990, Part VI, Section B, Line 12C

Every three years the organization requests a family and organization relationship disclosure that would include any potential conflicts of interest. This is also done for every new board member. The executive director, chairman of the board of governors, and legal counsel monitor and enforce the policy.

Form 990, Part VI, Section B, Line 15

For the executive director, a subset of the executive committee reviews comparable salary information from available sources to determine salary and bonus. Salary changes and bonus payments are communicated to the finance director for processing via letter or email by the chairman of the board of governors. For key positions, the executive director reviews comparable salary information from available sources, primarily a salary survey completed annually by the american association of museum directors. Salary changes are communicated to the director of finance via email or compensation adjustment form.

Form 990, Part VI, Section C, Line 19

Joslyn art museum does not currently make its governing documents, conflict of interest policy, or financial statements available to the public.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The finance & facilities committee is responsible for the review of the organization's consolidated financial statements and audit. They are also responsible for the selection of the organization's independent accounting firm. There were no changes in the oversight process or selection process during the year.

Financial Statement Notes

PART III, LINE 1A:

Joslyn art museum's collection includes objects that offer a comprehensive vision of artists and cultures from antiquity to the present, including a highly regarded collection of greek pottery; paintings by several old masters such as titian and rembrandt van rijn; noteworthy nineteenth-century french paintings and impressionist masterpieces. The museum is internationally known for its collection of artists and explorers of the american west, including one of the major holdings of alfred jacob miller, and watercolors by swiss artist karl bodmer. The museum's collection also includes american indian artworks and artifacts. Contemporary art is represented with major paintings and sculptures by artists including helen frankenthaler and jackson pollock. The collection is maintained for public exhibition, education, and research in furtherance of public service, rather than for financial gain. In conformity with accounting policies generally followed by art museums, the value of the museum's art collection has been excluded from the consolidated statements of financial position, and gifts of art objects are excluded from revenue in the consolidated statements of activities. Purchases of art objects by the museum are recorded as decreases in net assets in the consolidated statements of activities. Pursuant to state law and museum policy, proceeds from the sale of art and related insurance settlements are recorded as temporarily restricted net assets for the acquisition of art.

PART III, LINE 4:

Joslyn art museum's collections are described above in the response to part iii, line 1a. Works of art are displayed throughout the museum for the public's enjoyment and education.

PART IV, LINE 2B:

Joslyn is acting as agent for the exhibition the race to promontory: the transcontinental railroad and the american west that will be traveling to two additional venues in january 2019. At december 31, 2018, joslyn held $61,750 that will be disbursed for related expenses. At december 31, 2018, joslyn held $39,300 in funds from a grant for strategy and training consultation in collaboration with other area arts organizations. This amount will be paid when the contract is complete. Joslyn collaborated with three other museums to organize the exhibition wild spaces, open seasons: hunting and fishing in american art. Joslyn organized all loans of art objects and transportation of same to the museum venues. As part of this responsibility, joslyn acted as agent, collecting agreed upon payments from the other museums and disbursing those funds to pay for related expenses. Amounts totaling $137,500 were collected during 2017 and $25,027 was held as agent as of december 31, 2017. The remaining funds were disbursed during 2018. During 2017, joslyn also collaborated with two other museums to bring the exhibition bijoux parisiens: french jewelry from the petit palais, paris to the united states. Joslyn served in a similar capacity for this exhibition, collecting $167,500 in 2017 from the other museums and disbursing those funds to pay for related expenses. Joslyn held $95,457 as agent as of december 31, 2017. The remaining funds were disbursed during 2018 and any excess was returned to the participating museums.

PART V, LINE 4:

The endowment funds are to be used for the betterment of the joslyn art museum. The 2015 beginning of year endowment was restated in connection with the 2015 annual audit. It was reduced by $8,475,196.
