Except as otherwise provided by the board of governors, the executive committee shall have all of the authority of the board of governors except the authority prohibited in this section of this article v. The executive committee shall report all of its official actions to the board of governors at the first meeting of the board of governors following a meeting of the executive committee at which such action was taken.

Every three years the organization requests a family and organization relationship disclosure that would include any potential conflicts of interest. This is also done for every new board member. The executive director, chairman of the board of governors, and legal counsel monitor and enforce the policy.

For the executive director, a subset of the executive committee reviews comparable salary information from available sources to determine salary and bonus. Salary changes and bonus payments are communicated to the finance director for processing via letter or email by the chairman of the board of governors. For key positions, the executive director reviews comparable salary information from available sources, primarily a salary survey completed annually by the american association of museum directors. Salary changes are communicated to the director of finance via email or compensation adjustment form. During 2024, the compensation committee completed a study of executive compensation and drafted and executed a new employment contract for the executive director.

Additional Explanations

Form 990, Part III, Line 2

On may 3rd, 2022 the museum closed to the public due to construction. However, off-site programming was conducted and continued throughout the closure. Works from the collections were seen on national exhibition tours and loans during the museum closure. The museum reopened to the public in the fall of 2024 after a two year closure.

FORM 990, PART XII, LINE 2C:

The finance & facilities committee is responsible for the review of the organization's consolidated financial statements and audit. They are also responsible for the selection of the organization's independent accounting firm. There were no changes in the oversight process or selection process from the prior year.

Financial Statement Notes

PART III, LINE 1A:

The museum opened to the public in 1931. Gifts from individual collectors and from omaha's two main art societies formed the basis of the museum's collection. A substantial endowment bequeathed by founder sarah joslyn in 1940 supported the purchase of european old master paintings. In the succeeding years, the permanent collection has grown to include over 12,000 objects representing 5,000 years of human creativity and the world's diverse cultures. Areas of focus include: ancient mediterranean, european, american, native american, modern, contemporary, asian, and decorative arts. The museum holds its collection in public trust. The museum responsibly collects, preserves, documents, and exhibits works of art, ensuring they remain in good condition and accessible to the public for generations to come. In conformity with accounting policies generally followed by art museums, the value of the museum's art collection has been excluded from the consolidated statements of financial position, and gifts of art objects are excluded from revenue in the consolidated statements of activities. Purchases of art objects by the museum are recorded as decreases in net assets in the consolidated statements of activities. Pursuant to state law and museum policy, proceeds from the sale of art and related insurance settlements are recorded as temporarily restricted net assets for the acquisition of art.

PART III, LINE 4:

Joslyn art museum's collections are described above in the response to part iii, line 1a. Works of art are displayed throughout the museum for the public's enjoyment and education.

PART V, LINE 4:

The endowment funds are to be used for the betterment of the joslyn art museum.

PART X, LINE 2:

Management believes that the museum has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements.
