Form 990, Part VI, Line 12C Conflict of interest policy

Urban Dance & Educational Foundation ("UDEF") expects all of its Board members, officers and employees to avoid a conflict of interest or the appearance of such conflict in matters relating to UDEF. Each Board member, officer and employee of UDEF shall annually sign a statement, which affirms that such person has received a copy of UDEF's Conflict of Interest policy; has read and understands the policy; has agreed to comply with the policy; and understands that UDEF is a charitable organization and that in order to maintain its federal tax exemption, it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. Potential conflicts of interest are reviewed by the President and the Chairman of UDEF. In the event of potential conflicts of interest, interested persons may be asked to leave the board meeting before final consideration and voting on the proposed grant or transaction.

Financial Statement Notes

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The Foundation has received a determination letter from the Internal Revenue Service indicating that the Foundation is exempt from income tax under Section 501(c)(3) of the Internal Revenue Code of 1986 and except for taxes pertaining to unrelated business income, is exempt from federal and state income taxes. The Foundation is classified as a public charity under Section 509(a)(1) and Section 170(b)(1)(A)(vi), an organization that normally receives a substantial part of its support from direct or indirect contributions from the general public. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Foundation has received a determination letter from the Internal Revenue Service indicating that the Foundation is exempt from income tax under Section 501(c)(3) of the Internal Revenue Code of 1986 and except for taxes pertaining to unrelated business income, is exempt from federal and state income taxes. The Foundation is classified as a public charity under Section 509(a)(1) and Section 170(b)(1)(A)(vi), an organization that normally receives a substantial part of its support from direct or indirect contributions from the general public. A tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded.
