Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

The Chairman, Vice Chairman, Treasurer, Secretary, Executive Director and others appointed by the Board of Directors constitute the executive committee. The executive committee has the authority to act on behalf of the organization in between regular meetings of the Board of Directors. The Board of Directors must validate the actions of the executive committee at its next regular or special meeting. Any such action not so validated will not be legally binding on the organization.

Members of the C3 Board of Directors are provided a copy of the organization's Form 990 to review, question or comment.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

First, there is a duty to disclose any actual or possible conflict by an interested party, followed by a determination of whether a conflict of interest exists. If so, there are procedures for addressing the conflict of interest. If a determination is made that a conflict of interest exists, and there is reasonable cause to believe that a member has failed to disclose actual or possible conflicts of interests, the governing board shall take appropriate disciplinary or corrective action. Checks and balances are in place for monitor all the funds dispersement. In addition, the Board of Directors of the organization reviews activities of the organization at monthly board meetings.

Provide an accreditation program to educate Contractors and Specialty Contractors that agree and follow the same C3 principles.Teach safety principles on the construction projects by requiring and tracking safety training of craft workers by their employers for OSHA 10 and OSHA 30. Create and implement a safety refresher for craft workers already complying with OSHA 10 that are working on C3 designated construction projects. This safety refresher training is also available to any and all construction companies, regardless of C3 affiliation, free of charge.Consult with construction companies that employ craft workers, who have qualified for C3 Accredited Employer status, to assist them in developing craft training programs within their respective organizations that are linked to career paths. Assess the craft training programs of C3 Accredited Employers to measure and endorse, if earned, each company's skills training at three different levels based upon the quality of the individual training program. Emphasize and promote advantages to the industry when investments of craft worker training are made available. Establish database of craft workers with individual training credentials.
