Mission

The organization's mission is to achieve plug-and-play interoperability by unifying healthcare organizations to compel change, building a lab to solve shared technical challenges, pioneer innovative research and development, and accelerate the seamless exchange of healthcare information to improve patient safety, quality of care and outcomes, and reduce clinical burden and waste.

The Center for Medical Interoperability is a 501(c)(3) organization led by health systems to change how medical technologies work together by improving real-time information flow and by making technology function seamlessly in the background so that health systems can achieve the best possible outcomes for their patients. Our members are committed to compelling change and improving patient safety, care quality and outcomes, and reducing clinician burden and waste.

Governance Explanations

Form 990, Part VI, Section A, line 3

The organization outsources the general and administrative functions associated with accounting services, payroll, and financial record keeping to xmi acquisition, llc. In return for such services, the organization pays xmi a base monthly management fee and other direct costs associated with maintenance of the outscourced systems. Additionally, the center participates in a professional employee organization with xmi peo, llc where employees are in a co-employment relationship.

Form 990, Part VI, Section A, line 4

In March 2016, the Center amended and restated both its Certificate of Incorporation and Bylaws (the Governing Documents) to establish two classes of membership, with varying criteria for qualification as a member and varying membership rights, and to restructure the composition of the Board of Directors. Accordingly, the Governing Documents now provide for (1) Regular Members, comprised primarily of hospitals and health systems, long term care providers, and other health care providers, as well as managed care plans and other third party payers, and (2) Associate Members, comprised of all other individuals or entities approved by the Center's President in accordance with terms and conditions set forth by the Board of Directors from time to time. The only voting members of the Center are Regular Members, who each have one vote on any matter properly brought before the Regular Members for approval. The Governing Documents also provide for an increase from 18 to 21 in the maximum number of members of the Center's Board of Directors (each a Director), with such Board of Directors composed of the President of the Center (as an ex officio member), up to six Directors who are individuals serving as chief executive officers or other members of executive management of any Regular Member that is a large-sized hospital or health system, up to ten Directors who are serving as chief executive officers or other members of executive management of any Regular Member that is a medium-sized hospital or health system, up to two Directors who are individuals serving as chief executive officers or other members of executive management of any Regular Member that is a small-sized hospital or health system, and up to two at-large Directors.

Financial Statement Notes

Part X, Line 2:

The Center is exempt from income taxes under section 501(c)(3) of the Internal Revenue Code and the corresponding sections of the relevant state tax regulations, except for taxes on net unrelated business income. Since the Center had no obligation for unrelated business income tax for the year ended December 31, 2016 and 2015, no provision for federal or state income taxes has been made. The Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) 740, Accounting for Uncertainty in Income Taxes, clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a threshold of more-likely-than-not for recognition of tax benefits of uncertain tax positions taken or expected to be taken in a tax return. FASB ASC 740 also provides related guidance on measurement, derecognition, classification, interest and penalties, and disclosure. The Center has no unrecognized tax benefits at December 31, 2016 and 2015. The Center continues to evaluate changes in tax law and new authoritative rulings.
