Mission

The organization's mission is to achieve plug-and-play interoperability by unifying healthcare organizations to compel change, building a lab to solve shared technical challenges, pioneer innovative research and development, and accelerate the seamless exchange of healthcare information to improve patient safety, quality of care and outcomes, and reduce clinical burden and waste.

The center for medical interoperability is a 501(c)(3) organization led by health systems to change how medical technologies work together by improving real-time information flow and by making technology function seamlessly in the background so that health systems can achieve the best possible outcomes for their patients. Our members are committed to compelling change and improving patient safety, care quality and outcomes, and reducing clinician burden and waste.

Governance Explanations

Form 990, Part VI, Section A, Line 2

The gary and mary west foundation was the sole permanent member of the center for interoperability until it resigned permanent membership in september 2015. The foundation is the sole permanent member of the gary and mary west company, gary and mary west health institute, gary and mary west health policy center and gary and mary west health endowment. Joseph smith m.d., served on the board of directors of the organization and also the chief medical officer and chief science officer of the gary and mary west health institute, and the president and chairman of the gary and mary west health policy center. Dr. Smith resigned from the organization in september 2015. Nicholas valeriani, served on the board of directors of the organization and is the chief executive officer and a director of the gary and mary west health institute. Mr. Valeriani resigned from the organization in september 2015. Michael johns, m.d., currently serves on the board of directors of the organization and also as a director of the gary and mary west health instititue and the gary and mary west health policy center.

The organization outsources the general and administrative functions associated with accounting services and financial record keeping to xmi holdings, inc. In return for such services, the organization pays xmi holdings, inc. A base monthly management fee and other direct costs associated with maintenance of the outscourced accounting systems.

The organization has two classes of members: permanent members and elected members. The organization had one permanent member, the gary and mary west foundation, which resigned its membership in september 2015. Pursuant to the bylaws, the total number of members shall not be less than three.

Financial Statement Notes

PART X, LINE 2:

The center is exempt from income taxes under section 501(c)(3) of the internal revenue code and the corresponding sections of the relevant state tax regulations, except for taxes on net unrelated business income. Since the center had no obligation for unrelated business income tax for the year ended december 31, 2015, no provision for federal or state income taxes has been made. The financial accounting standards board (fasb) accounting standards codification (asc) 740, accounting for uncertainty in income taxes, clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a threshold of more-likely-than-not for recognition of tax benefits of uncertain tax positions taken or expected to be taken in a tax return. Fasb asc 740 also provides related guidance on measurement, derecognition, classification, interest and penalties, and disclosure. The center has applied fasb asc 740 which did not result in the recognition of any unrecognized tax benefits upon adoption and the center has no unrecognized tax benefits at december 31, 2015. The center continues to evaluate changes in tax law and new authoritative rulings. If applicable, the center recognizes interest and penalties associated with tax matters as part of supporting expenses and includes accrued interest and penalties with the related tax liability in the statement of financial position. No such amounts are included in the financial statements for the year ended december 31, 2015. Generally, the center's returns of organizations exempt from income tax are subject to examination by the internal revenue service and state taxing authorities for three and four years, respectively, after the returns are filed. There are no returns under examination as of december 31, 2015.
