Amy taylor (secretary) is the sister of emily taylor (president and director). Her board service is based on her extensive experience in non-profit management, perinatal and early childhood social health, and collective impact. Caitilin paul (treasurer) is the cousin of emily taylor (president and director). Her board service is based on her professional experience in leadership and management (both corporate and as a sole proprietor), her expertise in maternal and child nutrition, and her representation of mothers (the primary "community" wise aims to serve).

The director works with the accountant to complete the 990, then reviews the first copy with the treasurer. If no adjustments are needed, the wise board of directors is provided with a copy of the 990 no less than 2 weeks prior to the annual meeting. The board reviews the 990 with three questions in mind: 1) is our accounting accurate, transparent and adherent to all federal and state laws to which wise is responsible? 2) how does our payment of employee, contractors, vendors and expenses align with our goals for financial responsibility, ethical and legal standards, and our goals to support minority and/or women-owned businesses. And 3) how does our spending and earning reflect our efforts to advance wise's mission and vision? If changes or questions to the report arise, the director will confer with the accountant and liase with the board through to successful completion and submission of the 990.

Form 990, Part VI, Section B, Line 12C

Officers and directors are expected to submit completed conflict of interest declarations annually (april 1) and/or upon first knowledge of the potential conflict (whichever is sooner). After disclosure of a potential conflict of interest and all material facts, and after any discussion with the interested person, he/she shall leave the board of directors' meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board members shall decide if a conflict of interest exists. Resolution occurs according to policy.

Form 990, Part VI, Section B, Line 15A

Wise is committed to utmost ethical and legal standards for determining compensation for the executive director and any other paid staff or contractors. Prior to executing any hiring decisions, the executive director develops the compensation proposal by researching market rates using the non-profit times, guidestar, and the glass door. Market rate is determined by looking at the current range of compensation offered to individuals in similar roles (by title and function) and in similar organizations (by industry and budget). The board of directors considers the job description and compensation proposal (including market rate data) then votes to approve / revise the compensation packages. When determining compensation for anyone who also serves on the board (ms. Taylor as the sole staff member and director and ms. Colgan on a contractual basis), said individual is dismissed from the meeting and another officer calls for the vote. Once approved, the contract is accordingly executed. Any changes in compensation follow the same procedure.

DURING LATE 2016 SEVERAL EVENTS OCCURRED WHICH LED TO INABILITY TO FILE THE 2016 FORM 990 ON TIME. THESE EVENTS INCLUDE THE FACT THAT THE EXECUTIVE DIRECTOR'S HUSBAND BECAME CRITICALLY ILL, NECESSITATING MULTIPLE MOVES IN PURSUIT OF HEALTHCARE DURING 2016 AND 2017. IN ADDITION, THERE WAS CATASTROPHIC DATA LOSS IN LATE 2016 FROM A COMPUTER VIRUS. THE EXTENT OF THE LOSS WAS EXACERBATED BY THE FACT THAT THE MOST RECENT EXTERNAL BACKUP HAD BEEN COMPLETED PRIOR TO MOVING IN JULY 2016, AND THE HARD DRIVE WAS DAMAGED BY WATER WHILE IN STORAGE DURING THE MOVE. DESPITE EXTENSIVE EFFORTS, NO DATA WAS RECOVERABLE. AND, AS THE EXECUTIVE DIRECTOR'S (AND SOLE EMPLOYEE) HUSBAND HAD BECOME CRITICALLY ILL AT PRECISELY THIS SAME WINDOW OF TIME, SHE WAS DELAYED IN COMPLETING ALL NECESSARY DATA RECOVERY. IT IS NOT UNTIL NOW THAT THE ORGANIZATION HAS COMPLETED RESTORATION OF THE DATA NECESSARY TO COMPLETE THE 2016 990. WE ALSO ASK THAT YOU CONSIDER THE EXECUTIVE DIRECTOR IS THE ORGANIZATION'S SOLE EMPLOYEE AND THE ECONOMIC HARDSHIP TO THE ORGANIZATION DUE TO THE PAYMENT OF PENALTIES. IN ADDITION, EVEN THOUGH THE ORGANIZATION DID NOT FILE THEIR 990S, THEY DID CONTINUE TO MAKE TIMELY PAYROLL TAX FILINGS AND PAYMENTS DURING THIS TIME.GOING FORWARD THE ORGANIZATION HAS TAKEN THE FOLLOWING ACTIONS TO ENSURE THAT THE FORM 990 WILL BE TIMELY FILED IN THE FUTURE. FINANCIAL INFORMATION IS NOW RECORDED IN QUICKBOOKS ONLINE AND INFORMATION IS NOW SCANNED AND STORED ELECTRONICALLY WITH REAL TIME BACKUP IN CLOUD STORAGE. FINALLY, THE ORGANIZATION HAS ENGAGED AN OUTSIDE ACCOUNTING FIRM TO TRACK DUE DATES AND ASSIST THE ORGANIZATION WITH MEETING ITS FILING OBLIGATIONS.
