“Prospective governor letter and information packet is sent to the candidate. The candidate submits the completed prospective governor questionnaire/application, along with initializing K1's governing board member qualifications and expectations overview. Bi-directional due diligence and Q & A are performed. An introduction to the senior staff and current board members is made, the search and nomination committe presents the candidate's information to the full currently active board for motion, the candidate is notified of the election outcome(s), all while working together. Each candidate, upon consideration, receives a prospective board member packet which includes the following: 1. An introductory letter explaining the purposes of the packet, Kindred's vision and mission, and gives a general overview of the governance at Kindred Image and its election process. 2. Kindred's governor qualifications and operating practices overview document--this explains qualifications of board members including experience, education, character, individual attributes, availability, and compatibility. It also contains board member operating practices regarding members' relationship to one other and defined board member success and value. 3. A list of ten basis responsibilities of the board. 4. The application--with sort answer responses. 5. Media and branding guide. 6. Kindred Image bylaws. Their rights (authority) include: The right, by general resolution, to delegate to officers of the corporation and to committees such powers are provided for in the bylaws. The right to resign. The right to vote (with majority) to remove a director from office. The right to fill vacancies. The right to designate and appoint one or more committees of its members.”
