Mission

The mission of the douglas county car care program is to provide car care to enable independence. The purpose of the douglas county car care program is to receive donated vehicles, repair them and then donate them to needy families in douglas county minnesota to remove their transportation barriers. The program will also repair vehicles for individuals of douglas county who already own a vehicle but are not able to afford the repairs. The intent of the program is to remove the transportation barriers for people in poverty so they can get to work, care for themselves and their families.

To provide car care to enable independence.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The board has appointed an executive committee composed of members of the board which are authorized to transact all routine and ordinary business between times when the full board meets, with the exception of the establishment of major policy changes. The executive committee is comprised of six (6) members: the five (5) officers and the immediate past president. If the immediate past president is not available to serve, the president appoints another board member to fill this seat on the executive committee. The executive committee also serves as the nominating committee.

The 2022 form 990 was reviewed at a regular monthly board meeting prior to filing.

Form 990, Part VI, Section B, Line 12C

Each new responsible person shall be required to review a copy of the organization's policy and to acknowledge in writing that he or she has done so. Each board member and key staff shall annually complete a disclosure form identifying any relationships, positions or circumstances in which the responsible person is involved that he or she believes could contribute to a conflict of interest arising. Such relationships, positions or circumstances might include service as a director of or consultant to a nonprofit organization, or ownership of a business that might provide goods or services to the douglas county car care program. Any such information regarding business interests of a responsible person or a family member shall be treated as confidential and shall generally be made available only to the chair, the executive director, and any committee appointed to address conflicts of interest, except to the extent additional disclosure is necessary in connection with the implementation of the organization's policy. When a conflict of interest issue arise it is brought to the full board. Board members or staff members must report to the board when they know they have a potential conflict of interest. Where the board needs to pass by a two third majority with the board member with the conflict of interest is not counted. The organization's policy shall be reviewed annually by each member of the board of directors. Any changes to the policy shall be communicated immediately to all responsible.

To set executive director salary, a comparability data framework for this region, this area, this county was used. All factors were considered by a compensation committee, then brought to the board of directors to review, discuss and act upon. A similar process was used for additional paid employees. Documentation of such events are briefly described in the board meeting of january 12, 2016. This process was again used and updated when a new executive director was placed in service at the board meeting dated october 9, 2019.

IN ADDITION, THERE WERE 103 CAR REPAIRS FOR INDIVIDUALS. VOLUNTEERS CONTRIBUTED 3,158 HOURS OF LABOR TO REPAIR CARS AND CONDUCT CLASSES FOR CLIENTS ON MAINTENANCE AND SAFETY ASPECTS OF OWNING AND OPERATING THEIR CARS.

THE PROGRAM WILL ALSO REPAIR VEHICLES FOR INDIVIDUALS OF DOUGLAS COUNTY WHO ALREADY OWN A VEHICLE BUT ARE NOT ABLE TO AFFORD THE REPAIRS. THE INTENT OF THE PROGRAM IS TO REMOVE THE TRANSPORTATION BARRIERS FOR PEOPLE IN POVERTY SO THEY CAN GET TO WORK, CARE FOR THEMSELVES AND THEIR FAMILIES.
