“No committees are able to act on behalf of the board.”
“The foundation's accountant prepares the form 990, delivers a draft of it to the president and treasurer, who will distribute the draft to each member of the board. Members will review and suggest revisions. The president will compile all revisions and present them to the accountant. The final form 990 will be presented to the president and treasurer for approval and signature. Each member of the board receives the final form 990 prior to filing.”
“Every year each director and principal officer must sign a statement that they have read, understand and agree to comply with the conflict of interest policy. As actual or possible conflicts of interest arise, the director or officer must disclose all material facts to the other directors. Determination of whether or not a conflict actually exists is determined by the unconflicted members of the board. The board member with the conflict cannot be present during the deliberation or vote. If it is determined that a conflict exists, the chairperson, if appropriate, appoints a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement giving rise to the conflict. After exercising due diligence, the board determines whether the organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the board will decide whether or not the proposed transaction is in the organization's best interest.”
“The organization will make our governing documents, conflict of interest policy and financial statements available upon request.”
“Be fit. Be healthy. Be kind.: kids and their well-being are part of the educational environment. Healthy kids are better students - better able to focus. Students who have learned how to care for themselves responsibly can operate from a position of plenty, rather than scarcity, making them better able to invest of themselves in partnership with the other kids in the class - having a significant positive impact on the educational and interpersonal environment, as well as on their own self-confidence that leads to further success. This program will concentrate on fostering this type of self-care leading to an improved school experience for everyone. We will develop an array of tools as this program matures including providing students with a combination of school be kind crew assemblies and online materials as well as a pedometer and a healthy habits checklist to help form a healthier lifestyle approach, accountability for decisions, and self confidence. While we remain committed to working with schools and students everywhere, in our first year, 97% of these services were presented in title 1 schools, where the free and reduced lunch programs exceeded 80%. These schools are positioned in neighborhoods with a greater than average number of households living near or below the poverty level. Research has indicated that there is a high correlation between poverty, self esteem, and obesity, especially in children in their formative years. Acknowledging teachers continues in this program with the offering of desk exercise bikes for teacher lounges in some programs. Be kind american, a social call to action launched in november 2016, is a national student writing contest and community awareness program focused on the benefits of being kind.”

| IRS990/Desc | 0 | BE KIND: AT THE CORE OF THE PROGRAM IS THE BE KIND PLEDGE TO HELP KIDS UNDERSTAND WHAT IT MEANS TO BE KIND BY PLEDGING TO BE ENCOURAGING, SUPPORTIVE, POSITIVE, HELPFUL, HONEST, CONSIDERATE, THANKFUL, RESPONSIBLE, RESPECTFUL, AND A FRIEND. THEY LEARN AND PRACTICE THE EMOTIONAL AND INTERPERSONAL SKILLS NEEDED TO MAKE THESE VALUES AN INTEGRAL AND ONGOING PART OF THEIR LIVES. IT IS A POSITIVE, ACTION-BASED, INNOVATIVE SOLUTION FOR AMELIORATING UNWANTED SCHOOL AND PERSONAL BEHAVIOR, OFTEN MANIFESTED AS BULLYING, AND LEARN WHAT IT MEANS FOR THEM TO "BE KIND PEOPLE." BRINGING THE PLEDGE TO LIFE IS THE BE KIND CREW, A GROUP OF GIFTED YOUNG HIP HOP PERFORMERS WHO IMAGINATIVELY CONVEY THE KINDNESS MESSAGE AND CONNECT WITH STUDENTS IN CONTEMPORARY WAYS THAT KIDS FIND ENGAGING, (CONT. ON SCH. O)RELEVANT AND FUN. THEY SERVE AS POSITIVE AND AMAZINGLY "COOL" BEHAVIOR ROLE MODELS FOR STUDENTS. THE BE KIND BREAK ONLINE PROGRAM PROVIDES MONTHLY LANGUAGE ARTS, MATH, AND EXERCISE ACTIVITIES THAT COMBINE CHARACTER DEVELOPMENT SKILLS WITH COMMON CORE STANDARDS-AVAILABLE FOR TEACHERS TO USE IN THEIR LESSON PLANS. DURING THE 2016-17 SCHOOL YEAR, THE PROGRAM OPERATED IN MULTIPLE MARKETS WITH A COMBINATION OF BE KIND CREW ASSEMBLIES, DIRECT DELIVERIES OF CLASSROOM KINDNESS KITS, TEACHER RECOGNITION PROGRAMS, AFTER SCHOOL CLASSES, ONLINE PROGRAMS, AND COMMUNITY ENGAGEMENT PROGRAMS. THE ONLINE PROGRAM, THE BE KIND BREAK, EXPANDED TO INCLUDE LESSONS LINKING CHARACTER EDUCATION WITH ACADEMIC LESSONS IN: WRITING, READING, SCIENCE, STEM, MATH, SOCIAL STUDIES, AND CIVICS WAS OFFERED TO ANY TEACHER IN AMERICA, FREE OF CHARGE. THE REACH WAS TO ALL 50 STATES. NATIONAL WRITING AND CREATIVE EXPRESSION CONTESTS, AS WELL AS COMMUNITY PAY-IT-FORWARD TO SHOW CIVIC APPRECIATION WERE OFFERED TO ALLOW STUDENTS TO PRACTICE AND APPLY THEIR LEARNING. |

OVER 29,000 STUDENTS WERE REACHED WITH A COMBINATION OF SCHOOL BE KIND CREW ASSEMBLIES AND ONLINE MATERIALS. EVERY STUDENT RECEIVED A PEDOMETER AND A HEALTHY HABITS CHECKLIST (CONT. ON SCH. O) TO HELP FORM A HEALTHIER LIFESTYLE APPROACH, ACCOUNTABILITY FOR DECISIONS, AND SELF CONFIDENCE.97% OF THESE SERVICES WERE PRESENTED IN TITLE 1 SCHOOLS, WHERE THE FREE AND REDUCED LUNCH PROGRAMS EXCEEDED 80%. IF A MORE ADVANTAGEOUS TRANSACTION OR ARRANGEMENT IS NOT REASONABLY POSSIBLE UNDER CIRCUMSTANCES NOT PRODUCING A CONFLICT OF INTEREST, THE BOARD WILL DECIDE WHETHER OR NOT THE PROPOSED TRANSACTION IS IN THE ORGANIZATION'S BEST INTEREST. |
