Anthony Slonim, Ann Beck, and Dawn Ahner have a business relationship. All of the Trustees of the filing organization are also Trustees of related tax-exempt organization, Renown Health. The Trustees have a business relationship with the Renown Health officers: Anthony Slonim and Ann Beck. Steven Johnson and Mark Knobel have a business relationship.

The Form 990 is prepared by the organization's tax department with support from a certified tax preparer. The form is reviewed by the organization's current Controller and current Chief Financial Officer prior to the final Form 990 being sent to the board. The IRS Form 990, as filed with the IRS, is sent to each voting member of the Renown Health Board prior to filing. Along with the forms, the Renown Health board is provided with a narrative that explains the various parts of the Form and their content.

Form 990, Part VI, Section B, line 12C

On an annual basis at or prior to the first regular meeting following the election of new board members, the members of the Renown South Meadows Medical Center Board are given an Annual Disclosure Statement. They are expected to perform a reasonable investigation into their business, financial, family or significant personal relationships to disclose any actual or potential conflicts of interest. If, in connection with a proposed transaction or arrangement involving a Renown Health entity, a board member discovers that an actual or possible conflict of interest has arisen that was not disclosed on the Annual Statement, then the board member must disclose the existence and nature of his or her financial interests to the remaining directors that are considering the proposed transaction or arrangement in a timely manner. If a board member discloses an actual or possible conflict of interest, the board member shall leave the board or committee meeting while the remaining board members discuss the financial interest. The remaining board members shall vote upon and decide whether a conflict of interest actually exists. If the remaining board members determine that a conflict does exist, then appropriate measures are taken to ensure the issue is addressed.

Form 990, Part VI, Section B, line 15A

Renown Health's executive compensation, including compensation for the CEO and certain executives, is reviewed and approved by the Renown Health executive committee. As a member of the executive committee, the CEO abstains from any decisions or discussions related to their own compensation. All decisions are submitted for final ratification at the next scheduled board meeting. The discussion is documented in the Executive Committee minutes and Board minutes. Total cash compensation for the organization's executives is targeted at competitive compensation levels, relative to market surveys of comparable healthcare organizations, based upon the level of performance required to achieve the targeted compensation levels. Base compensation and total cash compensation is reviewed at a minimum of every two years in comparison to the surveys for comparable businesses and responsibilities and adjusted as to maintain equity with the survey information. The Executive Committee undertook the process outlined above for the fiscal year 2021 executive compensation.

The issue price includes the filing organization's share of the entire bond issue, which was issued to Renown Regional Medical Center on behalf of the Renown Obligated Group. The Renown Obligated Group consists of Renown Regional Medical Center, Renown South Meadows Medical Center, and Renown Transitional Care Services, but amounts are only listed on the financials of Renown Regional Medical Center and Renown South Meadows Medical Center as they specifically relate to those entities. In accordance with IRS instructions, information related to the tax exempt bond reporting is being reported on Renown Regional Medical Center's tax return (EIN 88-0213754). Renown Health, the sole member of this entity, has an audit committee that assumes responsibility for the consolidated audit and selection of the independent accountant.

Part X, Line 2:

Renown South Meadows Medical Center is organized as a Nevada nonprofit entity and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). This entity must annually file Returns of Organizations Exempt from Income Tax (Form 990) with the IRS. In addition, Renown South Meadows Medical Center is subject to income tax on net income derived from business activities that are unrelated to its tax exempt purpose. Renown South Meadows Medical Center files an Exempt Organization Business Income Tax Return (Form 990T) with the IRS to report any unrelated business taxable income. Renown South Meadows Medical Center believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the combined financial statements. Renown South Meadows Medical Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0See Schedule ORenown South Meadows Medical Center is a 115-bed hospital that offers the latest in medical and surgical care, intensive care, telemetry, a 24-hour emergency room, inpatient and outpatient surgical and lab services. Renown South Meadows provides a wide range of healthcare services to the south Reno and Washoe Valley communities regardless of race, creed, sex, national origin, handicap, age or ability to pay. Renown South Meadows has approximately 540 physicians on its medical staff and extends admitting privileges to all eligible and qualified physicians. Since it opened as an acute care hospital in 2002, Renown South Meadows has tripled its bed capacity by expanding the intensive care, surgical and telemetry units. Renown South Meadows is also the local home of endoscopic ultrasound. This technology, applied with skillful hands, has helped diagnose and treat digestive diseases in thousands of patients. Renown South Meadows is ranked in the top 1 percent nationwide for quality care based on measures for heart attack, heart failure, pneumonia and surgical care. They have the region's only certified pulmonary rehab and interventional pulmonary program, in addition to specializing in joint replacement and upper extremity procedures. Renown South Meadows houses physician offices in the medical pavilion located on its campus. The hospital provides the use of its facility to more than 20 healthcare activity and support groups. These include events that involve nursing students, senior healthcare, and obesity education. Renown South Meadows also donates meeting space to more than a dozen community groups, including local law-enforcement agencies and service organizations. Renown South Meadows supports Partners in Education through activities with Double Diamond Elementary and Damonte Ranch High School.Renown Rehabilitation Hospital is a 62-bed, inpatient rehabilitation environment accredited by the Commission on Accreditation of Rehabilitation Facilities focusing on care that prepares patients to live as independently as possible after experiencing a disabling injury or illness. Renown Rehabilitation offers highly specialized Physical Medicine & Rehabilitation physicians board certified in Spinal Cord Injury Medicine and Traumatic Brain Injury as well as housing an interventional pain management program and northern Nevada's only outpatient Neurorehabilitation clinic.Renown Rehabilitation Hospital has the highest concentration of Certified Rehabilitation Registered Nurses in Northern Nevada. Rehabilitation nurses provide comfort, therapy and education, promote health-conducive adjustments, support adaptive capabilities and promote achievable independence. During fiscal year 2021, there was only one other inpatient acute rehabilitation facility in Northern Nevada. Renown South Meadows and Renown Rehabilitation Hospital are governed by a board of community members, the majority of who live in our primary service area and who are neither employees or independent contractors or family members. All surplus funds are retained in the organization to make improvements in patient care. For the fiscal year ending June 30, 2021, Renown South Meadows, along with its parent, Renown Health and its subsidiaries, provided more than $198 million in benefit to the community (using community benefit numbers gathered by the Nevada Hospital Association using state-approved criteria to ensure consistency).
