Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall have and may exercise, when the board of directors is not in session, the powers of the board of directors in the management of the business and affairs of the corporation, except election of officers, amending the articles of incorporation, amending the by-laws, adopting a plan of merger or consolidation, or the filing of vacancies in the board of directors or other committees if any. The executive committee includes president, secretary and treasurer.

Form 990, Part VI, Section B, Line 11B

The board receives an electronic copy of the 990 at least one week prior to filing. The ceo, cfo, and legal counsel will review the form 990 in detail.

Form 990, Part VI, Section B, Line 12C

Csd has procedures to manage conflicts. For each interest disclosed to the chairman of the board of directors, the chairman will determine whether to: (a) take no action; (b) assure full disclosure to the board of directors and other individuals covered by this policy; (c) ask the person to recuse from participation in related discussions or decisions within csd; or (d) ask the person to resign from his or her position in the organization or, if the person refuses to resign, become subject to possible removal in accordance with csd's removal procedures. Csd's chief executive officer and corporate legal counsel will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the chairman of the board of directors in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.

Form 990, Part VI, Section B, Line 15

Review of wage studies and use of independent compensation consultants annually.

Form 990, Part VI, Section C, Line 19

Supplemental Narrative

Additional Explanations

Form 990, Part III, Line 2

Commencing on august 2017, csd social venture fund, llc (csd svf) is a business incubator and venture capital fund focused on deaf-led and -owned businesses. The csd svf is on a mission to invest in and mentor these businesses and, as a result, ensure even more opportunities for deaf people everywhere. Through this entity, the organization has a wholly owned investment in hapa & stein, inc. And a majority owned investment in mozzeria, inc. (collectively doing business as mozzeria). Additional minority owned investments consist of deaftax llc, and silent recyclers llc (doing business as refort). Starting in july 2017, we developed two programs: csd works and csd learns. Csd works is a national initiative that addresses multiple factors behind employment challenges impacting the deaf, deafblind, and hard of hearing community. Csd learns aims to create equity and give the community resources for self-improvement and advocacy. The program's goal is to provide equity for deaf people in the workplace and give people the tools for self-improvement and autonomous social mobility. By providing self-paced online courses with visual and auditory paths for interaction, we ensure that people from all intersections can engage with our content and build their own pathways to success. Csd learns' courses can be accessed by any individual, school, or organization at no cost.

Form 990, Part III, Line 3

Separation of minnesota adult basic education and domestic violence crime victim assistance and prevention services as program transferred as of july 1, 2017 to thinkself, a minnesota 501(c)(3) non-profit organization.

Financial Statement Notes

PART X, LINE 2:

Csd is exempt from federal income taxes under section 501(c)(3) of the internal revenue code. Csd is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, csd is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. Csd files an exempt organization business income tax return (form 990-t) with the irs to report its unrelated business taxable income. Csd believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. Csd would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
