The corporation will generally address conflicts of interest in one of three ways in order to avoid potential legal liability. For serious and actual conflicts, the individual must voluntarily withdraw - or be withdrawn involuntarily if necessary - from the corporation position. For less serious conflicts, there must be disclosure to the corporation and avoidance of participating in debate and voting on the issue for which there is a conflict. Finally, for minor or potential conflicts, there simply must be full disclosure to the corporation. The corporation's board of directors has the authority to make determinations on how to proceed in all such cases.”
