“The ASC Quality Collaboration, Inc. (the "Corporation") and its officers and directors are dedicated to serving the interests of the Corporation's constituency in the most honorable and ethical manner possible; the Corporation's officers and directors are committed to fulfilling their fiduciary duties to the Corporation, including the avoidance of conflicts of interest or the appearance of conflicts. The Corporation requires all those acting on its behalf to avoid conflicts of interest between their duties to the Corporation and their duties to other organizations or entities. A conflict of interest exists when an individual participates in the deliberation and resolution of an issue important to the Corporation while, at the same time, the individual has other professional, business, or volunteer responsibilities outside the Corporation that could predispose or bias the individual to a particular view or goal. The Corporation will generally address conflicts of interest in one of three ways in order to avoid potential legal liability. For serious and actual conflicts, the individual must voluntarily withdraw - or be withdrawn involuntarily if necessary - from the Corporation position. For less serious conflicts, there must be disclosure to the Corporation and avoidance of participating in debate and voting on the issue for which there is a conflict. Finally, for minor or potential conflicts, there simply must be full disclosure to the Corporation. The Corporation's Board of Directors has the authority to make determinations on how to proceed in all such cases.”
