Governance Explanations

Form 990, Part VI, Section B, Line 11B

A complete form 990 will be reviewed and approved by the foundation's board members prior to the filing of the return.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. The board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the response of the member and making such further investigation as may be warranted in the circumstances, the board or committee determines that the member has in fact failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15A

Based on comparability data and review by independent persons, the full board of trustees proposes, votes on, and sets the compensation for the executive director. There was contemporaneous substantiation of the deliberation and decision. No other officers are compensated by the organization.

Form 990, Part VI, Section C, Line 19

The form 990 and all governing documents, conflict of interest policy, and financial statements are available upon written request.

Financial Statement Notes

PART X, LINE 2:

The foundation accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax benefit is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for all uncertain tax positions. The foundation has identified its tax status as a tax-exempt entity as a tax position; however, the foundation has determined that such tax position does not result in an uncertainty requiring recognition. The foundation is not currently under examination by any taxing jurisdictions. The foundation's federal and state tax returns are generally open for examination for three years following the date filed.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0THE FOUNDATION ACCOUNTS FOR THE EFFECT OF ANY UNCERTAIN TAX POSITIONS BASED ON A "MORE LIKELY THAN NOT" THRESHOLD TO THE RECOGNITION OF THE TAX POSITIONS BEING SUSTAINED BASED ON THE TECHNICAL MERITS OF THE POSITION UNDER SCRUTINY BY THE APPLICABLE TAXING AUTHORITY.
