“Sean clifford and mairead clifford - family relationship. Justin gmelich and victoria gmelich - family relationship.”
“THE ORGANIZATION'S BYLAWS PROVIDE THAT Nominations of candidates to be elected as Trustees shall be made by the Committee on Trustees. IN ADDITION, THE ORGANIZATION'S BOARD OF TRUSTEES HAS THE POWER TO establish AN EXECUTIVE COMMITTEE TO WHICH THE BOARD MAY DELEGATE CERTAIN POWERS.”
“A COPY OF THE ORGANIZATION'S final FORM 990 WAS PROVIDED TO ALL MEMBERS OF ITS GOVERNING BODY, ITS BOARD OF TRUSTEES, FOR REVIEW PRIOR TO FILING WITH THE INTERNAL REVENUE SERVICE ("IRS"). THE ORGANIZATION'S BOARD OF TRUSTEES HAS THE RESPONSIBILITY TO OVERSEE, REVIEW AND APPROVE OF THE FEDERAL FORM 990, INCLUDING THE PREPARATION, REVIEW AND FILING PROCESS. AS PART OF THE TAX RETURN PREPARATION PROCESS THE ORGANIZATION HIRED A PROFESSIONAL CPA FIRM WITH EXPERIENCE AND EXPERTISE IN NOT-FOR-PROFIT TAX RETURN PREPARATION TO PREPARE THE FEDERAL FORM 990. THE CPA FIRM'S TAX PROFESSIONALS WORKED CLOSELY WITH THE ORGANIZATION'S HEAD OF SCHOOL AND ASSISTANT HEAD OF SCHOOL TO OBTAIN THE INFORMATION NEEDED IN ORDER TO PREPARE A COMPLETE AND ACCURATE TAX RETURN. THE CPA FIRM PREPARED A DRAFT FEDERAL FORM 990 AND FURNISHED IT TO THESE INDIVIDUALS FOR REVIEW. THESE INDIVIDUALS REVIEWED THE DRAFT FEDERAL FORM 990 AND DISCUSSED QUESTIONS AND COMMENTS WITH THE CPA FIRM. THE ORGANIZATION'S OUTSIDE ACCOUNTANT ALSO PERFORMED A DETAILED REVIEW OF THE DRAFT FORM 990. REVISIONS WERE MADE TO THE DRAFT FEDERAL FORM 990 WHERE NECESSARY AND A FINAL DRAFT WAS FURNISHED BY THE CPA FIRM TO THESE INDIVIDUALS FOR FINAL REVIEW AND APPROVAL PRIOR TO PROVIDING A COPY TO ALL MEMBERS OF this organization's board of trustees AND FILING WITH THE IRS.”
“All board members are required to annually complete a conflict of interest disclosure form that is reviewed by the board of trustees. When potential conflicts are identified, the board of trustees discusses the material facts and then determines if a conflict exists. If a conflict exists, the board of trustees then decides on the best course of action and any necessary mitigating behavior. In all situations, the relevant individual shall be removed from any decision making related to their potential conflict.”
“THE ORGANIZATION'S BOARD OF TRUSTEES MAINTAINS AN EXECUTIVE COMMITTEE ("COMMITTEE"). THE COMMITTEE IS RESPONSIBLE FOR THE REVIEW AND APPROVAL OF THE COMPENSATION AND BENEFITS OF THE ORGANIZATION'S HEAD OF SCHOOL . THE COMMITTEE'S REVIEW IS DONE ON AT LEAST AN ANNUAL BASIS AND ENSURES THAT THE "TOTAL COMPENSATION" OF THE HEAD OF SCHOOL IS REASONABLE. THE ACTIONS TAKEN BY THE COMMITTEE ENABLE THE ORGANIZATION TO RECEIVE THE REBUTTABLE PRESUMPTION OF REASONABLENESS FOR PURPOSES OF INTERNAL REVENUE CODE SECTION 4958 WITH RESPECT TO THE TOTAL COMPENSATION OF THE HEAD OF SCHOOL. THE THREE FACTORS WHICH MUST BE SATISFIED IN ORDER TO RECEIVE THE REBUTTABLE PRESUMPTION OF REASONABLENESS ARE THE FOLLOWING: 1. THE COMPENSATION ARRANGEMENT IS APPROVED IN ADVANCE BY AN "AUTHORIZED BODY" OF THE APPLICABLE TAX-EXEMPT ORGANIZATION WHICH IS COMPOSED ENTIRELY OF INDIVIDUALS WHO DO NOT HAVE A "CONFLICT OF INTEREST" WITH RESPECT TO THE COMPENSATION ARRANGEMENT; 2. THE AUTHORIZED BODY OBTAINED AND RELIED UPON "APPROPRIATE DATA AS TO COMPARABILITY" PRIOR TO MAKING ITS DETERMINATION; AND 3. THE AUTHORIZED BODY "ADEQUATELY DOCUMENTED THE BASIS FOR ITS DETERMINATION" CONCURRENTLY WITH MAKING THAT DETERMINATION. THE COMMITTEE IS COMPRISED OF MEMBERS OF THE BOARD OF TRUSTEES EACH OF WHOM ARE INDEPENDENT AND ARE FREE FROM ANY CONFLICTS OF INTEREST. THE COMMITTEE RELIED UPON APPROPRIATE COMPARABLE DATA; SPECIFICALLY, THE COMMITTEE BASES ITS REVIEW ON AN OUTSIDE INDEPENDENT STUDY THAT INCLUDES OFFICER COMPENSATION AT OTHER SECONDARY INDEPENDENT-PREPARATORY ACADAMIES OF A SIMILAR NATURE. THIS STUDY IS PREPARED BY THE NATIONAL ASSOCIATION OF INDEPENDENT SCHOOLS ("NAIS"). THE COMMITTEE ADEQUATELY DOCUMENTED THE BASIS FOR ITS DETERMINATION THROUGH THE TIMELY PREPARATION OF WRITTEN MINUTES OF THE COMMITTEE MEETINGS DURING WHICH THE HEAD OF SCHOOL'S COMPENSATION AND BENEFITS WAS REVIEWED AND SUBSEQUENTLY APPROVED. THE ACTIONS OUTLINED ABOVE WITH RESPECT TO THE COMMITTEE AND THE ESTABLISHMENT OF THE REBUTTABLE PRESUMPTION OF REASONABLENESS APPLIES TO THE HEAD OF SCHOOL. THE COMPENSATION AND BENEFITS OF THE ASSISTANT HEAD OF SCHOOL IS ALSO REVIEWED ON AT LEAST AN ANNUAL BASIS. THE ASSISTANT HEAD OF SCHOOL PREPARES A SELF-EVALUATION AND THEN MEETS WITH THE HEAD OF SCHOOL TO REVIEW THE EVALUATION. A DETERMINATION IS MADE, WITHIN THE ORGANIZATION'S BUDGET, AS TO THE PERCENTAGE INCREASE IN COMPENSATION FOR THE ASSISTANT HEAD OF SCHOOL. THIS REVIEW IS DONE IN CONJUNCTION WITH THE NAIS STUDY AND IS DESIGNED TO ENSURE THAT REASONABLE AND FAIR MARKET VALUE COMPENSATION IS PAID BY THE ORGANIZATION TO THE ASSISTANT HEAD OF SCHOOL and other directors of the organization.”
“The organization makes all its governing documents and conflict of interest policy available to the public upon request.”
“OUR MISSION ============ Trinity Hall is an independent, all-girls school that educates and empowers young women in the Catholic tradition through an innovative college preparatory program grounded in our four core values of leadership, respect, perseverance, and faith. Trinity Hall prepares each student to achieve her full potential as she embraces her place in the world. Mission Statement changed as a result of the strategic planning work done by the School and the Board during FY19. OUR STORY ========== At Trinity Hall we have reached milestones with everything we have done from academics to athletics to the arts. We have set the standard for all the young ladies who will follow. But our most extraordinary milestone is our students and now three classes of graduates. We have graduated three (3) classes of students who have set, achieved and surpassed goals and continue to have aspirations for greater things in the future. We called them pioneers and leaders four years ago; now we call them alumnae. They join our first class in college and universities across the country. To date, our most challenging step of the building process was to find a permanent location. Our west wing two-story was completed during the FY19 year and occupied in February, 2019. This new space provides two innovation spaces and 11 more classrooms. Our growing enrollment has found a home in our 40,000 square-foot classroom building. We take pride in the state-of-the-art school. Academic Program =============== Trinity Hall is committed to providing unprecedented opportunities for learning and leadership through an innovative curriculum taught by passionate and experienced faculty in a diverse environment that celebrates the Catholic tradition. Trinity Hall encourages students to think creatively and critically, solve problems and collaborate, communicate effectively, and lead. Through interdisciplinary studies, design thinking, and a problem-based math curriculum, students are academically well- rounded and thoroughly prepared for college. Our Science, Technology, Engineering, Arts, and Mathematics program focuses on developing lessons and techniques that bring together STEAM disciplines and concepts through creative hands-on projects and experiments. Trinity Hall students take four years of engineering, starting with the design process and its applications in grades 9-10, developing solutions to various challenges while documenting and communicating their work in grade 11; and participating in advanced problem solving and design development in grade 12. Trinity Hall's problem-based math program integrates several mathematical concepts and subjects each year, beginning with the building of algebra and geometry skills in Math I, to more intensive geometry, algebra 2, and trigonometry in Math II, leading to pre-calculus in Math III and ultimately calculus at either the Honors or AP level. Our Humanities program is intentionally designed to integrate both skills and content between the disciplines of English, history, and theology. Students learn to appreciate and understand the historical, cultural, theological, and literary contexts of their global society through an interdisciplinary approach that encourages 21st century skills. Students make significant connections, analyze important issues, and articulate their interpretations and opinions orally and in writing. Through the lens of the Catholic theological tradition, students engage in the exploration of prayer, scripture, sacraments, the Church's moral and social teachings, as well as the examination of all world religions. Integral to our theology courses is a fostering of each student's discernment of who God is, who she is, and the discovery of her unique place in our world. The World Language courses at Trinity Hall facilitate a class structure built around the four main skills: reading, writing, listening, and speaking. The classes aim for target language instruction only. Cultural comparisons,”
“Athletics and Extra-Curricular Activities ============================= Trinity Hall students are given the opportunity to participate in a variety of athletic teams and extra-curricular activities. Students may choose from the following 15 sports: Basketball, Crew, Cross Country, Field Hockey, Golf, Ice Hockey, Lacrosse, Sailing, Soccer, Softball, Spring Track & Field, Swimming, Tennis, Volleyball, and Winter Track & Field. Trinity Hall has the following clubs: ACE (Acceptance, Compassion, and Empowerment), Academic Bowl, Art Club, Book Club, Business Club, Chess Club, Chorus, Dance Club, Digital Monarchs, French Club, Glee Club, Horticulture Club (Garden Gurus), Improv Club, Instrumental Group, Literary Magazine, Math Club, Model United Nations, Political Science Club, Pre- Med Club, Robotics Club, The Royal Record (Yearbook), Speech and Debate, Students Against Destructive Decisions (SADD) Club, and The Trinity Hall Tribune (Newspaper). Trinity Hall also has the following student organizations: Liturgical Ministry, Student Ambassadors, Student Annual Fund Committee, and Tech Team. Student Government is divided into five core councils: Academics, Arts, Athletics, and Community Life, SCOPE (Service, Community Outreach, and Prayer is essential). Since inception, our student-athletes have enjoyed increasing success on all of our teams with new teams added each year to accommodate the interests of our girls. Trinity Hall athletes earned the prestigious ShopRite Cup, awarded by the NJSIAA to the highest performing school in each division based on points accrued for state tournament performance and season-long sportsmanship. The Monarchs won the ShopRite Cup for the 2018-2019 season, the first time in program history, and the youngest program to win the ShopRite Cup in NJSIAA history. Student Government and Student Activities ================================= - Student government identified increasing school spirit as a goal for this year. The "Royal Rumble" has helped to maintain and encourage student participation in activities within the community. - The student councils have successfully started the peer tutoring program, written an honor code, arranged fan days for the athletic teams, organized our first flag football tournament, held a pie contest, and hosted an Improv night, a trip to Broadway and many more activities and events that provided opportunities for students to demonstrate their Monarch pride! Our valedictorian sums it up... "We are a family of twenty two deeply distinct girls, bonded together by the happenstance of collectively taking the leap of faith to attend a two-year-old high school and by the unique experience we've shared here at Trinity Hall. Like any family, we all bring something different to the table. Each of us has particular ideas and interests and perspectives. Most importantly though, all of us are leaders. And we have Trinity Hall to thank for that. For teaching us how to be empowered women and stand up for the things in which we believe. Whether it's on the stage or field or in the classroom or community meeting, Trinity Hall has instilled in us the strength and courage to make our voices heard so that we can advocate not only for ourselves but also for others. Through countless class presentations, various leadership positions, and a multitude of google form surveys, we've learned that our voices can make a difference and are powerful. An invaluable lesson that we will carry with us for the rest of our lives. Coupled with steadfast determination and passion and faith in ourselves and God, there is absolutely nothing we can't do."”
“AN INDEPENDENT CPA FIRM AUDITED THE FINANCIAL STATEMENTS OF THE TAXPAYER FOR THE YEAR ENDED JUNE 30, 2019 AND ISSUED AN UNMODIFIED OPINION. THE ORGANIZATION'S AUDIT AND RISK COMMITTEE ASSUMES RESPONSIBILITY FOR OVERSIGHT OF THE AUDIT OF THE ORGANIZATION'S FINANCIAL STATEMENTS AND THE SELECTION OF ITS INDEPENDENT AUDITOR. ACCORDING TO THE ORGANIZATION'S BYLAWS THE AUDIT AND RISK COMMITTEE shall: recommend the independent auditor for Board approval; work with the auditor to establish the scope of the audit; review the recommendations for improving internal controls as noted in the auditor's management letter; recommend approval of the annual audit to the Board; and monitor the implementation of the recommendations of the management letter.”
“AN INDEPENDENT CPA FIRM AUDITED THE FINANCIAL STATEMENTS OF THIS ORGANIZATION (SCHOOL) FOR THE YEAR ENDED june 30, 2019. THE FIN 48 (ASC 740) FOOTNOTE BELOW IS FROM THE ORGANIZATION'S june 30, 2019 AUDITED FINANCIAL STATEMENTS: THE INTERNAL REVENUE SERVICE ("irs") HAS CLASSIFIED THE SCHOOL AS A tax-exempt corporation under Section 501(c)(3) of the Internal Revenue Code ("IRC"). However, income from certain activities that is not directly related to the School's tax-exempt purpose is subject to taxation as unrelated business income. The School had no unrelated business income for the years ended June 30, 2019. Accounting for Uncertain Tax Positions: Accounting principles generally accepted in the United States of America require management to evaluate tax positions taken by the School and recognize a tax liability (or asset) if the School has taken an uncertain position that more likely than not would not be sustained upon examination by the IRS. Management has analyzed the tax positions taken by the School, and has concluded that as of June 30, 2019, there are no uncertain positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. The School is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. In addition, there have been no tax related interest or penalties for years presented in these financial statements. Should such penalties and interest be incurred, the School's policy would be to recognize them as operating expenses.”
