“Upon or before hire, election, or appointment, each employee and board member must provide a full written disclosure of all direct or indirect financial interests that could potentially result in a conflict of interest. This written disclosure will be kept on file and will be updated annually and as needed. Employees and board members must disclose any interests in a proposed transaction or decision that may create a conflict of interest. After disclosure, the employee or board member will not be permitted to participate in the transaction or decision. Should there be any dispute as to whether a conflict of interest exists: -the co-executive director will determine whether a conflict of interest exists for an employee, and will determine the appropriate response. - the board of directors will determine whether a conflict of interest exists for the executive director or a member of the board, and will determine the appropriate response.”
“Ultraviolet action does not directly hire or compensate employees. All employees are employees of the ultraviolet education fund, an unrelated 501(c)(3) organization. The cost of ultraviolet action's officers are allocated under the terms of a cost sharing arrangement. The board undertook a multi-step process that involved an analysis of comparable salaries for each of the roles under review at other non-profit organizations of a similar size. The board assigned a subcommittee to study the comparables, interview the co-executive directors, and review staffing budget. The subcommittee offered a recommendation for salaries to the executive directors, which was subsequently approved unanimously. The executive directors whose salaries were under review abstained from the debate and the vote.”
