In accordance with common practice in the nonprofit community, the Board delegates certain matters to various Committees, which is empowered to act between board meetings if necessary, and sometimes with specifically delegated authority to act in particular areas on behalf of the full board. Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

The organization registered a name change to The SASB Foundation, from the Sustainability Accounting Standards Board (SASB). The bylaws were amended by the board to carve out the oversight of all standard setting activities to a separate and independent standard setting board (The SASB). This move was modelled after the structure of FASB to enhance the autonomy of standard setting activities fromother program activities and fundraising.Additionally:The organization launched the SASB Alliance Membership program in 2017, which is a new service within the Education Program.

Form 990 is prepared by an outside tax professional. The form is then reviewed bythe organization's management, a member of the board of directors, and the president. This group of individuals then discusses the contents of the return with the outside tax professional. Such information should be relevant, reliable and comparable across companies on a global basis.The SASB Foundation envisions an investment universe where a shared understanding of companies sustainability performance enables companies and investors to make informed decisions that drive improved sustainability outcomes and thereby lead to improved long-term value creation.The SASB Foundation has established an independent standard-setting arm, the Sustainability Accounting Standards Board, that sets sustainability disclosure standards that are industry-specific and tied to the concept of materiality to investors under the U.S. federal securities laws. The standards are intended to capture sustainability matters that are financially material -- reasonably likely to have a material impact on financial performance or condition. Standard-setting is accomplished through a rigorous process that includes evidence-based research and broad, balanced stakeholder participation.Disclosure to investors under our standards should be made under systems of governance and controls that are consistent with those used generally in connection with company disclosures of material information to investors. Given today's world of multiple channels of company communications to investors, disclosure of this information may be made in a variety of ways, including regulatory filings.The SASB Foundation also provides education and other resources that advance use and understanding of our standards.

Part X : FIN48 Footnote

Income TaxesFinancial statement presentation follows the recommendations of ASC 740, Income Taxes. Under ASC 740, SASB is required to report information regarding its exposure to various tax positions taken by the organization and requires a two-step process that separates recognition from measurement. The first step is determining whether a tax position has met the recognition threshold; the second step is measuring a tax position that meets the recognition threshold. Management believes that SASB has adequately evaluated its current tax positions and has concluded that as of December 31, 2017, SASB does not have any uncertain tax positions for which a reserve or an accrual for a tax liability would be necessary.SASB has received notification from the Internal Revenue Service and the State of California that it qualifies for tax-exempt status under Section 501(c)(3) of the Internal Revenue Code and Section 23701d of the California Revenue and Taxation Code. This exemption is subject to periodic review by the federal and state taxing authorities and management is confident that the organization continues to satisfy all federal and state statutes in order to qualify for continued tax exemption status. SASB may periodically receive unrelated business income such as sublease rent requiring the organization to file separate tax returns under federal and state statutes. Under such conditions, SASB calculates and accrues the applicable taxes payable.
