New classrooms innovation partners (new classrooms) believes it is possible to make the u.s. Education system work for each and every student. We recognize that learning is personal. Each student is different. And when schools can truly meet a student's unique strengths and needs, the benefits of a great education open up to them. Turning this possibility into reality - at scale - is the reason we exist. We develop digital products and innovative learning models that meet students where they are and connect them to where they need to be. We also advocate for policies that allow for student-centered approaches to teaching and learning so more students can succeed.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The new classrooms form 990 was prepared by an independent tax preparer in conjunction with new classrooms management. A copy of the 990 was reviewed and approved by the audit committee of the board, and subsequently provided to the entire board of directors prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

New classrooms has a conflict of interest policy that applies to all board members. At least once annually, new classrooms' board members are given a copy of the conflict of interest policy, as well as any revision thereto, and are required to sign a document certifying they have read and understand the conflict of interest policy and that they agree to comply with it. The policy requires all individuals disclose to the directors any potential or actual conflicts that may exist. If a potential or actual conflict is disclosed at any time, the board will review the material facts and circumstances. If it is determined that a conflict does exist, the board will decide whether the transaction at issue may be accomplished, with reasonable efforts, via an advantageous transaction or arrangement that would not give rise to a conflict or, if that is not reasonably possible, whether the original transaction is in the best interest of the organization and is fair and reasonable. The interested person will not participate in any vote or discussion on this matter. The decision of any actual or potential conflict of interest is documented in the minutes of the meeting of the board.

Form 990, Part VI, Section B, Line 15

The talent committee periodically commissions an outside party to conduct a benchmarking study of chief-level compensation to inform annual compensation increases for the ceo and cpo. As part of the review, the committee references available market data for comparable positions (via independently verified sources as well as reported 990 compensation of like size and focus peer organizations), and takes into account internal equity considerations as well. The ceo's and cpo's compensation review process is documented in the minutes of the board meetings and the last benchmarking study was undertaken in august 2021. The compensation of the chief financial officer is determined by the cpo and ceo and provided to the talent committee. The cpo and ceo use available market data for comparable positions (via independently verified sources as well as reported 990 compensation of like size and focus peer organizations), and taking into account internal equity considerations to determine the chief financial officer's compensation. The compensation review process is documented in the hr personnel files and was last undertaken in august 2021.
