“The foundation's audit committee will review the draft of the form 990 on behalf of the entire board and make a recommendation to approve the return as prepared. However, following the audit committee's review, the return will be presented to the entire board for discussion before it is signed and mailed to the irs.”
“Legal counsel attends all public board meetings. As a matter of protocol, conflict of interest inquiries are made when a board vote is required to enter into contracts or recommend grant awards. Board members may volunteer information during board comments or before any regular agenda item, and will recuse themselves from any discussion of said action items.”
“The board of directors determines the executive director's annual salary by using a salary survey and by establishing a committee of three board members who conferred and recommended an amount for the executive director's salary to the full board.the foundation conducts an annual performance review of the executive director and this review plays a role in the determination of the executive director's salary and any changes.”
