Governance Explanations

Form 990, Part VI, Section A, Line 2

Patricia and thomas norman have a family relationship.

Form 990, Part VI, Section B, Line 11B

The 990 is given to the internal affairs committee to review. The form 990 is then provided to the full board prior to filing.

Form 990, Part VI, Section B, Line 12C

The board has a conflict of interest policy that they sign and renew each year. In the event of a conflict, the board member discloses that they have a conflict and recuses themselves from the conversation and vote. If further evaluation is needed, the remaining board will evaluate the conflict of interest and vote on it.

Form 990, Part VI, Section B, Line 15A

The board of directors is involved with determining the compensation for all positions within the organization. The executive director puts together a first draft of the budget which includes salary for all positions which the finance committee reviews and then passes to the full board of directors for approval. These salaries are determined using comparable data from other non-profit and human service organizations. All discussions are documented in the meeting minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents and conflict of interest policy available to the public by written request to the executive director.

Financial Statement Notes

PART X, LINE 2:

The organization is exempt from federal and state income taxes on income related to its tax exempt purpose under section 501(c)(3) of the internal revenue code (the "code") and is not subject to federal income tax except for income from any unrelated business income, as defined in the code. Management believes that the organization continues to satisfy the requirements of a tax-exempt organization and is not subject to tax. Accordingly, no provision for income taxes has been reflected in the accompanying financial statements. The organization accounts for tax uncertainties based on a more likely than not recognition threshold whereby tax benefits are only recognized when the organization believes that they have a greater than 50% likelihood of being sustained upon examination by taxing authorities. The organization has evaluated all its tax positions and determined that it had no material uncertain income tax positions as of december 31, 2017 and 2016.
