Governance Explanations

Form 990, Part VI, Section A, line 1A

The Executive Committee consists of the President, Vice President, Secretary/Treasurer, and Assistant Secretary. The Chief Executive Officer is an ex-officio, nonvoting member of the committee as well. The Executive Committee has general administrative powers to implement board policy and to act for the Board of Directors as necessary between meetings. They also annually approve the Chief Executive Officer's salary and benefits.

Form 990, Part VI, Section B, line 11B

The Form 990 was provided to the Board of Directors electronically for their review prior to being filed with the IRS.

Form 990, Part VI, Section B, line 12C

Annually, each employee and board member must sign and disclose interests that could give rise to conflicts. The board reviews the conflict of interest statements and determines if a conflict exists. If a conflict is identified, that individual must abstain from voting.

Form 990, Part VI, Section B, line 15A

The Executive Committee meets annually to approve the Chief Executive Officer's salary and benefits. The Executive Committee uses information provided by salary research and recommended guidelines for the Chief Executive Officer position. The Chief Executive Officer is not present during these deliberations. The deliberation and decision is recorded in the Executive Committee meeting summary notes. There are no other officers or key employees in the organization that receive compensation. All other staff compensation is approved during the annual budget process.

Form 990, Part VI, Section C, line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon written request.
