Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee consists of the President, Vice President, Secretary/Treasurer, Assistant Secretary, and Chief Operating Officer. The Executive Director is an ex-officio, nonvoting member of the committee as well. The Executive Committee has general administrative powers to implement board policy and to act for the Board of Directors as necessary between meetings. They also annually approve the Executive Director's salary and benefits.

Form 990, Part VI, Section A, line 2

Dr. Dean Bresciani (NDSU President), Dr. Beth Ingram (NDSU Provost), and Dr. Kelly Rusch (NDSU VP of Research) have a business relationship. Chuck Hoge has a business relationship with Dave Ekman.

Form 990, Part VI, Section B, line 11B

The Form 990 was provided to the Board of Directors electronically for their review prior to being filed with the IRS.

Form 990, Part VI, Section B, line 12C

Annually, each employee and board member must sign and disclose interests that could give rise to conflicts. The board reviews the conflict of interest statements and determines if a conflict exists. If a conflict is identified, that individual must abstain from voting.

Form 990, Part VI, Section B, line 15A

The Executive Committee meets annually to approve the Executive Director's salary and benefits. The Executive Committee uses information provided by salary research and recommended guidelines for the director level position. The guidelines are based on the size of the organization and the area of the country in which the entity is located. The Executive Director is not present during these deliberations. The deliberation and decision is recorded in the board minutes. There are no other officers or key employees in the organization that receive compensation.

Form 990, Part VI, Section C, line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon written request.

Financial Statement Notes

Part X, Line 2:

The Organization is organized as a North Dakota nonprofit organization and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and (viii), and have been determined not to be a private foundation under Sections 509(a)(1) and (3), respectively. The Organization is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purposes. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return(Form 990-T) with the IRS. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0For charitable, scientific & educational purposes primarily promoting public/private partnership, advancing research and technology development, including entrepreneurship. The following were NDSU Research & Technology Park's unique programs in 2018: Since 2010, the RTP has partnered with the NDSU to host educational events and networking opportunities for NDSU students focused on innovation and entrepreneurship. See Schedule O for continuation...The purpose is to increase student awareness for entrepreneurship, encourage students to consider entrepreneurship as a career choice, educate students on resources available for entrepreneurs and engage the current entrepreneur and business communities with students. This was the tenth year the Innovation Challenge program has been held and the program continues to evolve. The competition focused on the innovative work being done on campus by NDSU students. The Innovation Challenge activities were held throughout the spring semester to allow for more engagement with the students. Students prepared innovation proposals, visual displays and oral presentations for judging. Criteria for the three sections focused on all aspects of innovation. The track alignment was slightly different this year to distinguish undergrads from graduate students working on their research projects. There were three competitive tracks: Social Impact, Graduate Research or the Entrepreneurial track. Teams were evaluated based on how innovative their idea was, the problem solved and the pathway for implementation. The Organization hosted several events for the benefit of our clients and the community. These events were: (1) SBA National SBIR Road Tour which is a national outreach effort to connect small businesses with representatives from government agencies to engage small tech companies, including women and minority-owned research and development businesses. Attendees had the opportunity to meet directly with Federal Program Managers who fund a wide spectrum of innovative ideas. The Department of Defense, National Institutes of Health, NASA, Department of Energy, National Science Foundation, and other government agencies fund small technology-based businesses with more than $3B through the Small Business Innovation Research (SBIR) and Small Business Technology Transfer (STTR) programs; (2) Basics of Patents and Trademarks with the US Patent & Trade Office; and (3) Finance Conference titled "Inside Banking: Guide to successfully landing a business loan" local bankers and attorneys were presenters. At the Technology Incubator, the Organization continues to work hard to create an entrepreneurial culture that fosters innovation and encourages ingenuity. This was accomplished by providing coaching and mentoring services and networking events. In 2014, the Organization became an administrator for the State of North Dakota Department of Commerce Innovate ND program. The RTP is responsible for assisting the companies with developing a business plan, creating and executing a budget for Innovate ND funds and providing the company with coaching and mentoring. Eight new clients were provided with services through this program this past year along with the clients currently enrolled. Since the program started the Organization has assisted 92 companies through the program. In June of 2008, the Organization invested in NDSU Research Park Ventures, LLC. The partnership was incorporated for the purpose of operating a renaissance fund corporation for the City of Fargo. The purpose of the fund is to raise funds to be used to make investments in zone and research park projects and to assist in financing of renaissance zone projects in a manner that will encourage capital and real estate investment in the City of Fargo which, in return, will encourage the expansion of technology based entrepreneurial business development. The project zones are located in downtown Fargo and in the NDSU Research & Technology Park at North Dakota State
