Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee consists of the President, Vice President, Secretary/Treasurer, Assistant Secretary, and Chief Operating Officer. The Executive Director is an ex-officio, nonvoting member of the committee as well. The Executive Committee has general administrative powers to implement board policy and to act for the Board of Directors as necessary between meetings. They also annually approve the Executive Director's salary and benefits.

Form 990, Part VI, Section A, line 2

Dr. Dean Bresciani (NDSU President), Dr. Beth Ingram (NDSU Provost), and Dr. Kelly Rusch (NDSU VP of Research) have a business relationship.

Form 990, Part VI, Section B, line 11B

The Form 990 was provided to the Board of Directors electronically before filed with the IRS. The Organization requires each of the board members to respond that they have reviewed and approved the draft.

Form 990, Part VI, Section B, line 12C

Annually, each employee and board member must sign and disclose interests that could give rise to conflicts. The board reviews the conflict of interest statements and determines if a conflict exists. If a conflict is identified, that individual must abstain from voting.

Form 990, Part VI, Section B, line 15A

The Executive Committee meets annually to approve the Executive Director's salary and benefits. The Executive Committee uses information provided by salary research and recommended guidelines for the director level position. The guidelines are based on the size of the organization and the area of the country in which the entity is located. The Executive Director is not present during these deliberations. The deliberation and decision is recorded in the board minutes. There are no other officers or key employees in the organization that receive compensation.

Form 990, Part VI, Section C, line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon written request.

Additional Explanations

Form 990, Part XI, line 9:

Subsidiary Tax Income per K-1 -11,246. Subsidiary Book Income per Financial Statements 11,573.

Financial Statement Notes

Part X, Line 2:

The Organization is organized as a North Dakota nonprofit organization and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and (viii), and have been determined not to be a private foundation under Sections 509(a)(1) and(3), respectively. The Organization is annually required to file a Return of Organization Exempt from Income Tax(Form 990) with the IRS. In addition, the Organization is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purposes. The Organization has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. As a limited liability company, RPV's taxable income or loss is allocated to its member. Therefore, no provision for income taxes has been included in the financial statements. The Organization believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the consolidated financial statements. The Organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0For charitable, scientific & educational purposes primarily promoting public/private partnership, advancing research and technology development, including entrepreneurship. The following were NDSU Research & Technology Park's unique programs in 2016: Since 2010, the RTP has partnered with the NDSU to host educational events and networking opportunities for NDSU students focused on innovation and entrepreneurship. The purpose is to increase student awareness for entrepreneurship, encourage students to consider entrepreneurship as a career choice, educate students on resources available for entrepreneurs and engage the current entrepreneur and business communities with students. This was the seventh year of the Innovation Challenge. Students prepared posters and oral presentations for judging. Criteria for the poster and presentation focused on all aspects of innovation. The competition was open to all students enrolled at NDSU. The students competed in four tracks; Ag Track, Product Track, Service Track and Social Track. Each track winner received a prize of $5,000 along with prizes for 2nd and 3rd place. There was also a $1,000 People's Choice Award where the winner was selected by popular vote during the Poster Competition. At the Technology Incubator, the Organization continues to work hard to create an entrepreneurial culture that fosters innovation and encourages ingenuity. This was accomplished by providing coaching and mentoring services and networking events. In 2014, the Organization became an administrator for the State of North Dakota Department of Commerce Innovate ND program. The RTP is responsible for assisting the companies with developing a business plan, creating and executing a budget for Innovate ND funds and providing the company with coaching and mentoring. Approximately 11 new clients were provided with services through this program this past year along with the clients currently enrolled. In June of 2008, the Organization invested in NDSU Research Park Ventures, LLC. The partnership was incorporated for the purpose of operating a renaissance fund corporation for the City of Fargo. The purpose of the fund is to raise funds to be used to make investments in zone and research park projects and to assist in financing of renaissance zone projects in a manner that will encourage capital and real estate investment in the City of Fargo which, in return, will encourage the expansion of technology based entrepreneurial business development. The project zones are located in downtown Fargo and in the NDSU Research & Technology Park at North Dakota State UniversityThe RTP partnered with the NDSU Research Foundation and NDSU Office of Research & Creative Activity to present a conference on intellectual property and technology transfer. The goal of the conference was to provide private-sector companies, students and faculty with information on the IP process as well as to partner with the university on tech transfer and research. Presenters went in-depth on IP basics, tech transfer process, inventorship, research, the differences between existing and newly developed IP, IP ownership, etc. Also held was Financing ND, the second in a series on funding your business to help beginning entrepreneurs understand the ins and outs of financing their businesses. This was noted as a severe shortcoming for those companies consulted in the Innovate ND program as well as a weakness with other startup companies. Representatives of all of the top grant, loan and equity programs in the area provided information on the programs available to entrepreneurs. Founders that have utilized these programs discussed their experiences.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Organization is organized as a North Dakota nonprofit organization and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3), qualify for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and (viii), and have been determined not to be a private foundation under Sections 509(a)(1) and(3), respectively.
