Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee consists of the President, Vice President, Secretary/Treasurer, Assistant Secretary, and Chief Operating Officer. The Executive Director is an ex-officio, nonvoting member of the committee as well. The Executive Committee has general administrative powers to implement board policy and to act for the Board of Directors as necessary between meetings. They also annually approve the Executive Director's salary and benefits.

Form 990, Part VI, Section B, line 11B

The Form 990 was provided to the Board of Directors electronically for their review prior to being filed with the IRS.

Form 990, Part VI, Section B, line 12C

Annually, each employee and board member must sign and disclose interests that could give rise to conflicts. The board reviews the conflict of interest statements and determines if a conflict exists. If a conflict is identified, that individual must abstain from voting.

Form 990, Part VI, Section B, line 15A

The Executive Committee meets annually to approve the Executive Director's salary and benefits. The Executive Committee uses information provided by salary research and recommended guidelines for the director level position. The guidelines are based on the size of the organization and the area of the country in which the entity is located. The Executive Director is not present during these deliberations. The deliberation and decision is recorded in the board minutes. There are no other officers or key employees in the organization that receive compensation.

Form 990, Part VI, Section C, line 19

The governing documents, conflict of interest policy, and financial statements are available to the public upon written request.

The purpose is to increase student awareness for entrepreneurship, encourage students to consider Continued on Schedule O...entrepreneurship as a career choice, educate students on resources available for entrepreneurs and engage the current entrepreneur and business communities with students.Innovation Challenge '20 was revamped to work with the changing environment due to Covid 19. As in the past, Innovation Challenge encourages students to develop and showcase innovative ideas for a chance to win resources to bring them to life. Innovation Challenge is a national idea competition hosted by the NDSU Nice Center and the NDSU Research & Technology Park. It helps students learn essential skills of creativity, problem solving, public speaking and collaboration. Participants bring an idea, receive mentorship and training and share their final product with the entire state on ND Innovation Day scheduled on November 19. Governor Burgum declared November 19 ND Innovation Day. ND Innovation Day is dedicated to showcasing innovative projects and ideas across North Dakota. Along with the Innovation Challenge students presenting their projects, leading innovators discussed why innovation matters and how students can be innovative in their school, community, organization, or company. As part of ND Innovation Day, high school students across North Dakota shared their projects to help their communities as part of the Nice Idea Showcase. The Innovate ND Showcase had start-up companies in the state discuss how the program helped them scale their company.Innovation Challenge was opened up to include all high school, undergraduate and graduate students from anywhere in the country. This year, the event was 100% virtual format with teams competing in social impact, graduate research or entrepreneurship tracks.Individuals or teams applied online for Innovation Challenge and then were able to learn and building on their idea through an online bootcamp. The online bootcamp walked them through how to create, test and launch their ideas. These online bootcamps helped the teams learn more about ideation and entrepreneurship. The Project Showcase Video had teams submitting a three minute pitch. Judges selected the finalists who could either present live in studio or via zoom on ND Innovation Day. A final bootcamp was held to assist the teams in their final presentations and update their financials. For the finals held on ND Innovation Day, ten groups of student entrepreneurs presented their ideas and answered questions from a panel of judges, then a winner was selected from each category by the judges. At the end, the virtual audience voted for the People's Choice award. These undergraduate and graduate students represented five different universities, four different countries, and a wide-range of ideas from medical devices to mental health support programs. At the Technology Incubator, the Organization continues to work hard to create an entrepreneurial culture that fosters innovation and encourages ingenuity. This was accomplished by providing coaching and mentoring services and networking events. In 2014, the Organization became an administrator for the State of North Dakota Department of Commerce Innovate ND program. The RTP is responsible for assisting companies with developing a business plan, creating and executing a budget for Innovate ND funds and providing the company with coaching and mentoring. The Organization worked with over 40 companies through the program this past year. The Organization is developing a cutting-edge makerspace wh
