“An independent accounting firm prepares and reviews the 990. The 990 is then reviewed by the organization's officers and accounting personnel. Any member in a position to influence agency business decisions, for which they or their business or professional firm, may receive material benefit, must disclose the nature of the conflict to the board chair. Members with potential conflicts must remove themselves from involvement in such discussions, decision making and voting.”

For this review, they used compensation surveys and studies to get a benchmark for the compensation. The board of directors used the information from reports published prior to june 2014 to approve the compensation for the ceo. The deliberations and decisions regarding compensation are contemporaneously documented.”
