A draft of the form 990 was reviewed by the finance and audit committee. In addition, a draft of the form 990 was distributed to the full board of directors prior to filing.

Form 990, Part VI, Section B, Line 12C

Sheldon board members and staff members are asked to sign conflict of interest statements on an annual basis. If a conflict does arise the board member is asked to abstain from any decision that would be seen as a possible conflict. If there is a question as to whether a conflict exists, the matter will be referred to the governance committee which will have the opportunity to involve the finance committee to determine if there is a conflict of interest.

The salary and benefits of the executive director are determined by the chairman of the sheldon's board of directors in consultation with the chairman of the administration committee and other officers of the board of directors, as part of the development of a balanced annual operating budget that is presented to and reviewed by the finance and audit committee which is then presented to the full board of directors for approval. Salaries and benefits of all other employees are determined by the executive director in consultation with the chairman of the administration committee, as part of the development of a balanced annual operating budget that is presented to and reviewed by the finance and audit committee which is then presented to the full board of directors for approval. The executive director and the director of finance provide research information as requested to the chairman of the board of directors and the chairman of the administration committee on local, regional and national salaries for arts and non-profit organization employees.
