SmithBucklin Corporation is a management company which manages all financial services of the organization in accordance with the organization's bylaws and policies.

Form 990, Part VI, Section A, line 6

The Association is a company membership organization. Prospects of the yellow pages (local search) industry apply for membership to the Association. Once they meet all requirements and are approved by the board, they become members of the Association.

The bylaws state that directors nominated for election shall be elected by the class membership represented by such directors.

All principal officers and committee members must disclose any conflict of interest, including all material facts, to the directors and committee members who will then decide if a conflict of interest exists and take appropriate disciplinary and corrective action, if necessary. On an annual basis, each principal officer and committee member shall sign a statement which affirms such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands the organization is charitable and in order to maintain its Federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

The President's salary and target bonus opportunity is set forth in a written employment agreement. The board of directors annually establishes written goals for the President. The executive committee of the board of directors, acting as the compensation and benefits committee, consisting of the Chair, Vice Chair and Secretary/Treasurer, annually review the accomplishments of the President compared to the goals established by the board. The committee determines the base salary increase, if any, for the prior year's performance based upon accomplishment of these goals, the financial conditions of the Association and its members, and consultation with independent human resources professional. The decision of the compensation and benefits committee is reported to the board of directors and is reflected in contemporaneously recorded minutes of their meetings. All other staff are part of the annual review and evaluation process. Merit increase amounts for the year are approved by the board of directors during the budget process. The percentage is based on a review of merit increases at board companies and similar associations.

Form 990, Part III, Line 1, Description of Organization Mission:

The organization's mission is to acquire information from members and third parties and providing analysis to members of the local media industry to aid in the conduct of their businesses and in communicating their needs and interests to federal, state and local legislative and administrative bodies, as well as to nongovernmental organizations such as business firms, trade associations, charitable foundations and civic groups; represent the local media industry as a whole before the above described governmental organizations; conduct and support training programs for its members; conduct and support meetings, conferences, seminars, trade shows and similar activities; promote the use of local media including, but not limited to, printed and electronic directories, search engines, social media and mobile advertising by advertisers and consumers throughout the world; provide cooperative advertising information, national sales services and other programs and services that facilitate the use of local media; encourage appropriate standards of conduct and, where appropriate, uniform practices in the creation and sale of local media; and certify competence in the development, marketing and sale of local media.

Financial Statement Notes

Part X, Line 2:

The Association is incorporated as a non-profit under the laws of the State of Delaware and is exempt from Federal and state income taxes under the provision of Section 501(c)(6) of the Internal Revenue Code, except for taxes pertaining to unrelated business income, if any. The Association had no unrelated business income tax expense for the year ended December 31, 2017 and 2016. The Association follows the accounting guidance for uncertainty in the income taxes. The standard clarifies the accounting for uncertainty in income taxes by prescribing the recognition threshold a tax position is required to meet before being recognized in the financial statements. The guidance also addresses derecognition, classification, interest and penalties on income taxes, and accounting in interim periods. Management believes the Association has no material uncertainties in income taxes. The Association files Form 990 in the U.S. Federal jurisdiction and the related form in the required state jurisdictions. With few exceptions, the Association is no longer subject to examination for years before 2014.

IRS990/Desc0National order processing systems - The Association manages Rates & Data and Elite, two programs that are critical to the day-to-day functions of the industry. Rates & Data provides rates and associated information about yellow pages products that are available in Association member and non-member directories. The Rates & Data system provides certified marketing representatives (CMRs), publishers and advertisers' easy access to advertising rates, coverage and maps for approximately 6,300 directories. The Elite system is a computer system used for the transmission of national advertising order data between CMRs and association publishers, members and non-members for print or internet yellow page directories. The Association maintains the elite system through a contract with a third party provider. The user base is currently located in the US, Canada, and Mexico. The system also includes a directories online component, which includes copies of directories for use by CMRs.
